Authority Cause definition

Authority Cause means any breach of the obligations of the Authority (including but not limited to any fundamental breach or breach of a fundamental term) or any other default, act, omission, misrepresentation, negligence or negligent statement of the Authority in connection with or in relation to this Framework Agreement or the subject matter of this Framework Agreement and in respect of which the Authority is liable to the Supplier;
Authority Cause any breach by the Authority of any of the Authority Responsibilities (unless caused or contributed to by the Contractor or as the result of any act or omission by the Authority to which the Contractor has given its prior breach consent);
Authority Cause any material breach by the Authority of any of the Authority Responsibilities, except to the extent that such breach is: (a) the result of any act or omission by the Authority to which the Supplier has given its prior consent; or (b) caused by the Supplier, any Sub- contractor or any Supplier Personnel; “Authority Data” (a) the data, text, drawings, diagrams, images or sounds (together with any database made up of any of these) which are embodied in any electronic, magnetic, optical or tangible media, and which are: (i) supplied to the Supplier by or on behalf of the Authority; and/or (ii) which the Supplier is required to generate, process, store or transmit pursuant to this Agreement; or (b) any Personal Data for which the Authority is the Data Controller;

Examples of Authority Cause in a sentence

  • Clause 5.1 only applies if the Supplier: gives notice to the Party responsible for the Authority Cause within 10 Working Days of becoming aware; demonstrates that the Supplier Non-Performance would not have occurred but for the Authority Cause; and mitigated the impact of the Authority Cause.

  • The buyer’s obligations to the supplier If Supplier Non-Performance arises from an Authority Cause: neither CCS or the Buyer can terminate a Contract under Clause 10.4.1; the Supplier is entitled to reasonable and proven additional expenses and to relief from liability and Deduction under this Contract; the Supplier is entitled to additional time needed to make the Delivery; and the Supplier cannot suspend the ongoing supply of Deliverables.

  • The Supplier may terminate a licence granted under paragraph 9.2.1 by giving at least thirty (30) days’ notice in writing if there is an Authority Cause which constitutes a material Default which, if capable of remedy, is not remedied within twenty (20) Working Days after the Supplier gives the Buyer written notice specifying the breach and requiring its remedy.

Authority Cause means THE MINISTER FOR THE CABINET OFFICE ("Cabinet Office") as represented by Crown Commercial Service, a trading fund of the Cabinet Office, whose offices are located at 0xx Xxxxx, Xxx Xxxxxxx, Xxx Xxxx Xxxxxx, Xxxxxxxxx X0 0XX; means any breach of the obligations of the Authority (including but not limited to any fundamental breach or breach of a fundamental term) or any other default, act, omission, misrepresentation, negligence or negligent statement of the Authority in connection with or in relation to this Framework Agreement or the subject matter of this Framework Agreement and in respect of which the Authority is liable to the Supplier;
Authority Cause means a failure of the Authority to undertake or satisfy the Authority's Obligations; Authority Change has the meaning given to it in the Change Protocol; Authority Claim Subject has the meaning given to it in clause 31.11.1; Authority Data means any data (including metadata), documents, text, drawings, diagrams, images or sounds (together with any database made up of these) owned by the Authority or embodied in any medium, communicated or supplied to the Service Provider by or on behalf of the Authority or an Authority Related Party whether in writing, orally, electronically or by any other means, or which the Service Provider is required to or does generate, process, store or transmit pursuant to or otherwise for the purposes of this agreement; Authority Default means one of the following events:
