Authority Loan Documents definition

Authority Loan Documents means this Agreement, the Authority Promissory Note, the Authority Deed of Trust, and any other documents reasonably required by Authority to provide the Authority Subordinate Loan to Developer.
Authority Loan Documents mean the (i) Loan Agreement dated as of November 19, 2013 among the Authority, as borrower, the Tribe for the limited purposes set forth therein, RBS Citizens, N.A., as Administrative Agent and L/C Issuer, and the other lenders and parties thereto, (ii) Indenture dated as of August 15, 2013 by and among the Authority, as issuer, the Tribe for the limited purposes set forth therein, and U.S. Bank National Association, as Trustee, (iii) the Indenture dated as of March 6, 2012 by and among the Authority, as issuer, the Tribe for the limited purposes set forth therein, and U.S. Bank National Association, as Trustee, and (iv) any amendments, restatements, modifications, renewals, refunding, replacements or refinancing thereof in whole or in part from time to time.
Authority Loan Documents means, collectively, all promissory notes, loan agreements, the Authority Deed of Trust, the assignment of the Amusement Tax Replacement Fee Agreements and all other documents or agreements, which further evidence or secure the Series A Loan or the Series B Loan, or both.

Examples of Authority Loan Documents in a sentence

  • Notwithstanding any other provision of this Agreement, however, until the Authority receives written notice that Borrower is in monetary default under the Senior Loan Documents, the Authority may accept and retain all payments from Borrower under the Authority Loan Documents.

  • Subject to the preceding sentence, if Senior Lender makes insurance proceeds or a condemnation award to which it is entitled under the Senior Loan Documents available to Borrower for the restoration of the Development, the Authority shall also make available to Borrower for the purpose of restoration the insurance proceeds or condemnation award (if any) to which it is entitled under the Authority Loan Documents.

  • The Authorized Officers, and each of them acting alone, are authorized on behalf of the Authority to determine the source (or sources) of funds for each loan contemplated under the Housing Authority Loan Documents.

  • The Lenders hereby agree that the priority of the documents evidencing each of their respective loans (the "Loan Documents") and the security title, liens, and security interests created or granted under the Authority Loan Documents and the Senior Loan Documents and the rights, powers, and privileges granted to the Lenders under their respective Loan Documents shall be as follows: first priority--Senior Loan Documents; and second priority--Authority Loan Documents.

  • The Borrower and Authority have executed a mortgage, mortgage note, regulatory agreement and other loan documents (the "Authority Loan Documents") in connection with the Authority Loan.

  • None of Holdings or any Subsidiary is an Affected Financial Institution.

  • If Senior Lender stops collecting such amounts from Borrower before the Authority Loan has been paid in full, the Authority shall have the immediate right to enforce the provisions of the Authority Loan Documents relating to any such escrow or reserve.

  • Notwithstanding any prohibition of inferior liens in the Senior Loan Documents, but subject to the terms of this Agreement, Senior Lender agrees that the Authority may record the Authority's TCAP Mortgage, TCAP Regulatory Agreement, and any of the other Authority Loan Documents that need to be recorded and file the Authority UCC-1.

  • However, if Senior Lender is separately collecting and administering a reserve that is an operating assurance reserve, operating deficit reserve or a replacement reserve (as those reserves are described in the Authority Loan Documents), Senior Lender acknowledges and agrees that the Authority's prior written consent is required before funds may be disbursed from any such reserve.

Authority Loan Documents means the following documents evidencing the Authority Loan and required as consideration for the Authority to make the Authority Loan: (i) the Authority Promissory Note; (ii) the Authority Deed of Trust; (iii) the Authority Regulatory Agreement; (iv) the Assignment of Plans, Reports and Data; and (v) this Agreement.
Authority Loan Documents means this Agreement, the Authority Promissory Notes, the Authority Deeds of Trust, and any other documents reasonably required by Authority to provide the Authority Subordinate Loans to Developer for the Manchester Project and the Orangewood Project, as applicable.

  • Required Loan Documents means, for each Loan:

  • Borrower Loan Documents shall have the meaning given such term in the Borrower Loan Agreement.

  • Loan Documents means, collectively, this Agreement, any note or notes executed by Borrower, and any other document, instrument or agreement entered into in connection with this Agreement, all as amended or extended from time to time.

  • DIP Loan Documents means the Replacement DIP Loan Documents (as defined in the DIP Order).

  • Authority Document(s) means document(s) duly adopted by the Board by resolution or motion implementing the powers, functions and activities of the Authority, including but not limited to the Operating Rules and Regulations, the annual budget, and plans and policies.

  • Senior Loan Documents means the loan agreement between Borrower and Senior Creditor and any other agreement, security agreement, document, promissory note, UCC financing statement, or instrument executed by Borrower in favor of Senior Creditor pursuant to or in connection with the Senior Debt or the loan agreement, as the same may from time to time be amended, modified, supplemented, extended, renewed, restated or replaced.

  • Term Loan Documents means the “Loan Documents” as defined in the Term Loan Agreement.

  • Credit Documents mean the agreements, instruments, certificates or other documents at any time evidencing or otherwise relating to, governing or executed in connection with or as security for, a Loan, including without limitation notes, bonds, loan agreements, letter of credit applications, lease financing contracts, banker's acceptances, drafts, interest protection agreements, currency exchange agreements, repurchase agreements, reverse repurchase agreements, guarantees, deeds of trust, mortgages, assignments, security agreements, pledges, subordination or priority agreements, lien priority agreements, undertakings, security instruments, certificates, documents, legal opinions, participation agreements and intercreditor agreements, and all amendments, modifications, renewals, extensions, rearrangements, and substitutions with respect to any of the foregoing.

  • Second Lien Loan Documents means the Second Lien Credit Agreement and the other “Loan Documents” under and as defined in the Second Lien Credit Agreement, as each such document may be amended, renewed, restated, supplemented or otherwise modified from time to time.

  • Existing Loan Documents means the “Loan Documents” as defined in the Existing Credit Agreement.

  • Credit Agreement Documents means the collective reference to any Credit Agreement, any notes issued pursuant thereto and the guarantees thereof, and the collateral documents relating thereto, as amended, supplemented, restated, renewed, refunded, replaced, restructured, repaid, refinanced or otherwise modified, in whole or in part, from time to time.

  • Senior Credit Documents means the collective reference to the Credit Agreement, the notes issued pursuant thereto and the guarantees thereof, and the collateral documents relating thereto, as amended, supplemented or otherwise modified from time to time.

  • Letter of Credit Documents means, with respect to any Letter of Credit, collectively, any application therefor and any other agreements, instruments, guarantees or other documents (whether general in application or applicable only to such Letter of Credit) governing or providing for (a) the rights and obligations of the parties concerned or at risk with respect to such Letter of Credit or (b) any collateral security for any of such obligations, each as the same may be modified and supplemented and in effect from time to time.

  • First Lien Loan Documents means the “Loan Documents” as defined in the First Lien Credit Agreement.

  • Mortgage Loan Documents means, with respect to the Mortgage Loan, the Mortgage Loan Agreement, the Mortgage, the Notes and all other documents now or hereafter evidencing and securing the Mortgage Loan.

  • Revolving Loan Documents has the meaning specified for the term “Loan Documents” in the Revolving Credit Agreement.

  • Facility Documents means this Agreement, the Notes, the Account Control Agreement, the Sale Agreement, the Administrative Agent Fee Letter, the Lender Fee Letter, the Collateral Administration and Agency Fee Letter and any other security agreements and other instruments entered into or delivered by or on behalf of the Borrower in favor of the Collateral Agent, the Administrative Agent or any Lender from time to time pursuant to this Agreement.

  • Original Loan Documents means the "Loan Documents" as defined in the Original Credit Agreement.

  • Cooperative Loan Documents As to any Cooperative Loan, (i) the Cooperative Shares, together with a stock power in blank; (ii) the original executed Security Agreement and the assignment of the Security Agreement endorsed in blank; (iii) the original executed Proprietary Lease and the assignment of the Proprietary Lease endorsed in blank; (iv) the original executed Recognition Agreement and the assignment of the Recognition Agreement (or a blanket assignment of all Recognition Agreements) endorsed in blank; (v) the executed UCC-1 financing statement with evidence of recording thereon, which has been filed in all places required to perfect the security interest in the Cooperative Shares and the Proprietary Lease; and (vi) executed UCC-3 financing statements (or copies thereof) or other appropriate UCC financing statements required by state law, evidencing a complete and unbroken line from the mortgagee to the Trustee with evidence of recording thereon (or in a form suitable for recordation).

  • ABL Loan Documents means the “Loan Documents” as defined in the ABL Credit Agreement.

  • Bridge Loan Documents means the “Loan Documents” as defined in the Bridge Credit Agreement.

  • Subordinated Loan Documents means at any time the agreements and other documents then governing the Subordinated Indebtedness.

  • Severed Loan Documents shall have the meaning set forth in Section 8.2(c) hereof.

  • Mezzanine Loan Documents means, as to each Mezzanine Loan, all documents evidencing, securing, guaranteeing and/or perfecting such Mezzanine Loan and all documents executed and/or delivered in connection therewith.

  • Financing Documents means collectively the documents evidencing Lenders’ commitment to finance the Project.

  • Borrower Documents shall have the meaning set forth in Section 6.06.
