Average Daily Sales means, in respect of any period, the total sales of the Business for that period, as reported by Sellers, divided by the number of days that the Business was open for business during such period, as determined by Sellers; provided that if the last day of the Pre-Closing Period falls on any day other than the last day in which the Business is open for business in a fiscal month (such month being a "Partial Month"), Average Daily Sales for the pre-Closing Period shall be calculated excluding the Partial Month.
