Bain Entities definition

Bain Entities means, collectively, Xxxx Capital, LLC, its Affiliates (other than any portfolio companies) and any investment funds advised or managed by any of the foregoing.

• Any waiver or failure by the Perry Entities or the Bain Entities to designate the maximum number of nominees to which they are entitled hereunder shall not be deemed a waiver of such Person's rights hereunder in connection with any future elections of directors to the Board.

• Notwithstanding the terms of Section 203 of the Delaware General Corporation Law, Bain Venture Capital IV, L.P. and its affiliates (the "Bain Entities") shall not be deemed at any time and without regard to percentage of voting stock of the Corporation owned by the Bain Entities to be an "interested stockholder" as such term is defined in Section 203(c)5 of the Delaware General Corporation Law.

Bain Entities means Xxxx Capital (CC) IX, L.P., Xxxx Capital (CC) IX Offshore, L.P., Xxxx Capital (CC) IX Coinvestment, L.P., Xxxx Capital (CC) IX Coinvestment Offshore, L.P., Xxxx Capital CC Investors, L.P., Xxxx Capital (CC) X, L.P., Xxxx Capital (CC) X Offshore, L.P., together with any of their respective Affiliates or Affiliated Funds that, as of any relevant time, is (a) a Stockholder (as defined in the Stockholders Agreement, dated July 29, 2008, by and among CC Media Holdings, Inc. BT Triple Crown Merger Co., Inc. and certain other parties (the “Stockholders Agreement”)) or (b) an equity holder of a Sponsor Investment Vehicle.

Bain Entities means, collectively, Xxxx Capital Fund IV, L.P., ------------- Xxxx Capital Fund IV B, L.P., Bain Associates and BCIP Trust Associates, L.P., and funds or trusts managed or controlled by Xxxx Capital, Inc.

Bain Entities means Xxxx Capital Fund X, L.P., BCIP Associates IV, L.P., BCIP Trust Associates IV, L.P., BCIP Associates IV-B, L.P., BCIP Trust Associates IV-B, L.P., Xxxx Capital Partners, LLC and any of their respective affiliates, including any investment fund (including any general partner of such investment fund) managed by Xxxx Capital Partners, LLC or its affiliates.
