Bank Finance Documents definition

Bank Finance Documents means the Bank Finance Documents as defined in the Intercreditor Agreement, for the avoidance of doubt, including each Hedging Agreement (as such term is defined in the Intercreditor Agreement).
Bank Finance Documents has the meaning given to it in the Credit Agreement.
Bank Finance Documents means the documents described as such in the Details, any document which the Borrower acknowledges in writing to be a Bank Finance Document and any other document connected with any of them.

  • Obligors The borrowers, guarantors and security providers under the Bank Finance Documents (other than Seadrill Limited).

  • Subject to the provisions of the Bank Finance Documents, each Financier may separately enforce its rights under any Bank Finance Document.

  • Senior Debt Liabilities under the Bank Finance Documents and any permitted refinancing thereof designated by Seadrill Limited as “Senior Debt” pursuant to the Intercreditor Agreement.

  • The Client will pay to the Bank on demand all costs and expenses incurred by the Bank in connection with: the negotiation, preparation, execution and perfection of the Agreement, the Security Documents and any other agreement or ancillary documentation entered into between the Client and the Bank (Finance Documents) and any related documents; and any amendment, extension, waiver, consent or suspension of rights relating to a Finance Document or any related document.

  • Further, the Notes shall at all times rank (i) pari passu with the Bank Finance Documents (but subject to the order of application set out in the Intercreditor Agreement), and (ii) at least pari passu with all direct, unconditional, unsubordinated and unsecured obligations of the Issuer, except those obligations which are mandatorily preferred by law.

  • Authority will also be granted by the Ship Finance Parties for the Common Security Agent to immediately (and without any further consent, sanction, authority or further confirmation from any Ship Finance Party) release their third ranking guarantees from RigCo following a disposal of RigCo which is permitted under the Bank Finance Documents and the New Secured Notes and does not constitute an enforcement of security.

  • Security Holders The First Ranking Asset Level Security will be held by the existing security agents for the relevant Bank Finance Parties (each an “Existing Security Agent” and together the “Existing Security Agents”) in accordance with the terms of the relevant Bank Finance Documents.


More Definitions of Bank Finance Documents

Bank Finance Documents will be defined to mean the Credit Agreement, the Restructuring Deed, the Substitution Certificates, the Borrower Accession Agreements, the Overdraft Borrower Accession Agreements, the fee letters, the Security Documents, the Intercreditor Agreement, the Agreement in Principle and any documentation from time to time entered into between the Overdraft Borrowers and the Overdraft Bank relation to the Overdraft Facility,
Bank Finance Documents means the Finance Documents as defined in the Super Senior Facility Agreement, for the avoidance of doubt, including each Hedging Agreement (as such term is defined in the Super Senior Facility Agreement).
Bank Finance Documents means the Credit Documents, the Security Documents and any other documents which the Agent and the Parent agree shall be Bank Finance Documents;
Bank Finance Documents means this agreement, the Domestic Deed Poll, the Offshore Deed Poll, each Loan Note, each Security, the Security Trust Deed, the Working Capital Terms and Conditions, each Hedge Agreement and any other document which a Borrower and the Agent agree is to be a Bank Finance Document and any other instrument connected with any of them.
Bank Finance Documents has the meaning given to the term Finance Documents in the Bank Facilities Agreement, but excluding any Hedging Agreement.

Related to Bank Finance Documents

  • Principal Finance Documents means the Credit Agreement, the Senior Secured Note Indenture, the Intercreditor Arrangements and any Additional Agreement.

  • Finance Documents means these Terms and Conditions, the Agency Agreement and any other document designated by the Issuer and the Agent as a Finance Document.

  • Senior Finance Documents means the Revolving Credit Agreement and such other documents identified as “Senior Finance Documents” pursuant to the Revolving Credit Agreement.

  • Finance Document means this Agreement, any Fee Letter, any Accession Letter, any Resignation Letter and any other document designated as such by the Agent and the Company.

  • Borrower Loan Documents shall have the meaning given such term in the Borrower Loan Agreement.

  • Bridge Loan Documents means the “Loan Documents” as defined in the Bridge Credit Agreement.

  • Senior Credit Documents means the collective reference to the Credit Agreement, the notes issued pursuant thereto and the guarantees thereof, and the collateral documents relating thereto, as amended, supplemented or otherwise modified from time to time.

  • Senior Loan Documents means the loan agreement between Borrower and Senior Creditor and any other agreement, security agreement, document, promissory note, UCC financing statement, or instrument executed by Borrower in favor of Senior Creditor pursuant to or in connection with the Senior Debt or the loan agreement, as the same may from time to time be amended, modified, supplemented, extended, renewed, restated or replaced.

  • Reference Documents means the documents provided with and so designated in the RFP. The Reference Documents, including Plans contained therein and/or so designated, are not Contract Documents and were provided to the Design-Builder for informational purposes only and are relied upon at the Design-Builder’s own risk.

  • Credit Facility Documents means the collective reference to any Credit Facility, any notes issued pursuant thereto and the guarantees thereof, and the collateral documents relating thereto, as amended, supplemented, restated, renewed, refunded, replaced, restructured, repaid, refinanced or otherwise modified, in whole or in part, from time to time.

  • Second Lien Loan Documents means the Second Lien Credit Agreement and the other “Loan Documents” under and as defined in the Second Lien Credit Agreement, as each such document may be amended, renewed, restated, supplemented or otherwise modified from time to time.

  • Governance Documents means any articles of incorporation, corporate by-laws, limited liability company operating agreement, shareholder agreements, membership and partnership agreements and other similar organizational documents of a Person, together with any applicable charters, codes of conduct, governance guidelines and other similar documents setting forth policies and practices relating to the management and governance of such Person.

  • Second Lien Note Documents means the Second Lien Note Indenture, the Second Lien Notes, the Second Lien Security Documents and each other document, instrument or agreement relating to the issuance of the Second Lien Notes, as the same may be amended, restated, supplemented, waived and/or otherwise modified from time to time in accordance with the terms thereof, of this Agreement and of the Intercreditor Agreement.

  • Facility Documents means this Agreement, the Notes, the Account Control Agreement, the Sale Agreement, the Administrative Agent Fee Letter, the Lender Fee Letter, the Collateral Administration and Agency Fee Letter and any other security agreements and other instruments entered into or delivered by or on behalf of the Borrower in favor of the Collateral Agent, the Administrative Agent or any Lender from time to time pursuant to this Agreement.

  • DIP Loan Documents means the Replacement DIP Loan Documents (as defined in the DIP Order).

  • Existing Loan Documents means the “Loan Documents” as defined in the Existing Credit Agreement.

  • Term Loan Documents means the “Loan Documents” as defined in the Term Loan Agreement.

  • First Lien Loan Documents means the “Loan Documents” as defined in the First Lien Credit Agreement.

  • Credit Agreement Documents means the collective reference to any Credit Agreement, any notes issued pursuant thereto and the guarantees thereof, and the collateral documents relating thereto, as amended, supplemented, restated, renewed, refunded, replaced, restructured, repaid, refinanced or otherwise modified, in whole or in part, from time to time.

  • ABL Loan Documents means the “Loan Documents” as defined in the ABL Credit Agreement.

  • Subordinated Note Documents means the indenture under which the Subordinated Notes were issued and all other instruments, agreements and other documents evidencing or governing the Subordinated Notes or providing for any Guarantee or other right in respect thereof.
