Examples of BEP Group in a sentence

  • Any grievance not conforming to these provisions shall be automatically defined as not con.~tuting a valid grievance.

  • No party may assign its right or benefits under this Equity Commitment Agreement without the prior written consent of the other parties hereto provided that Canada HoldCo may assign its rights and benefits under this Equity Commitment Agreement to any member of the BEP Group without obtaining the prior written consent of the other parties.

  • To the extent an amount otherwise payable to a member of the BEP Group is required to be withheld and paid over to any taxing authority, and such withheld amount is attributable to a Partner's ownership of Units, then such withheld amount shall be treated as a distribution of cash to such Partner pursuant to Section 5.2 or Section 16.3 (as applicable) in the amount of such withholding.

  • Members must disclose any form of association they have with a current or former external or internal auditors of the Corporation, any other member of the BAM Group or any member of the BEP Group to the Nominating and Governance Committee for a determination as to whether this association affects the Member’s status as an Independent Member.

  • Special meetings of the Limited Partners may be called by the General Partner or by Limited Partners holding greater than 50% or more of the voting power of the Outstanding Partnership Interests of the class or classes for which a meeting is proposed, provided that, for this purpose, the Partnership Interests Outstanding shall not include Partnership Interests owned by the General Partner or any of its Affiliates other than any member of the BEP Group.

  • None of the General Partner, the Partnership or any other member of the BEP Group or any other Person shall have any rights by virtue of this Agreement or the partnership relationship established hereby or otherwise in any business ventures of an Indemnified Party.

  • BEP Group staff, staff from the school, the parent/guardian and any other professionals as appropriate should attend that meeting.• The student should not return to provision until that meeting has taken place.• A discussion will be held after the meeting to decide if the student is to be issued with a formal disciplinary.
