Beta Period definition

Beta Period means the period during which Licensee is authorized to use the Beta Solution. The Beta Period begins upon Beta Product delivery/installation or upon access or subscription to the Beta Service (the “Beta Start Date”) and ends upon the Beta Trial conclusion, as identified in the Beta Letter, or when the Beta Solution is declared by Avaya to be generally available, whichever is later (the “Beta End Date”).
Beta Period means the period beginning as of the Effective Date and ending on the earlier of March 15, 2000 or the date on which Licensee makes its services and Licensee Client Software generally available in a non-beta format.
Beta Period commences upon delivery of the MicroStrategy Pre-Release Technology and end 30 days after the MicroStrategy Pre-Release Technology becomes generally available or upon written termination by us, whichever occurs first.

  • Such license will automatically terminate upon the expiration of the Beta Period, which period may be extended or terminated by Magnet Forensics at any time, in its sole discretion, but, unless You are in breach of this Agreement, Magnet Forensics will use commercially reasonable efforts to provide You with prior notice of any change to the duration of the Beta Period.

  • Upon expiration or termination of this Agreement (including expiration of term license, free trial or Beta Period), You will immediately cease all use of the Software and destroy and/or permanently delete all copies of the Software in Your possession, and any payments that are then due to Magnet Forensics become immediately payable in full.

  • Notwithstanding the Beta Period, You acknowledge and agree that Magnet Forensics may include technical measures in the Beta Software that renders it inoperable after a specified period of time and You agree that You will not circumvent such technical measures.

  • During the Beta Period, Magnet Forensics may agree to accept data from You.

  • If the Software is identified as pre-commercial, evaluation, pilot, "alpha", or "beta" software ("Beta Software"), the license rights set out above with respect to Your use of such Beta Software apply only for the time period authorised by Magnet Forensics ("Beta Period") and solely to the extent necessary to enable You and the Users to test and provide Feedback to Magnet Forensics regarding the Beta Software.

  • Upon termination or expiry of this Agreement, and, if earlier, termination or expiry of a Term License, free trial or any Beta Period, You shall immediately cease all use and access of the Software and destroy or permanently delete all copies of the Software in Your possession along with any Documentation delivered to You or derivative works made therefrom.

  • Upon Licensee’s request, Avaya may provide and Licensee may use one or more Beta Products, or receive / access a Beta Service, at a specified Licensee Beta Site during the Beta Period, subject to the terms of this Agreement and Beta Letter.

  • Cost of the Ancillary Solution and any other services (including, but not limiting to, network assessment) associated with the Beta Trial will be identified in the Beta Letter, relevant quote, or SOW (whichever is applicable) and invoiced at the conclusion of the Beta Period.

  • If identified in a Beta Letter, for the duration of the Beta Period, and at no additional charge to Licensee, Avaya agrees to provide telephone and/or web-based support during each business day, Monday – Friday, 8 a.m. – 5 p.m. local time, excluding Avaya designated holidays.

  • Notwithstanding the foregoing, during the Beta Period Licensee shall not be required to comply with the provisions of Section 2.3(a) or 2.3(b) and shall be entitled to release and distribute up to 5,000 copies of the Licensee Client Software during such period without obtaining compatibility certification.

Related to Beta Period

  • PEA Period means the period commencing at 9:30 a.m., Eastern time, on the fifth (5th) Business Day immediately prior to the filing of any post-effective amendment to the Registration Statement (as defined herein) or New Registration Statement (as such term is defined in the Registration Rights Agreement), and ending at 9:30 a.m., Eastern time, on the Business Day immediately following, the effective date of any post-effective amendment to the Registration Statement (as defined herein) or New Registration Statement (as such term is defined in the Registration Rights Agreement).

  • PAGA Period means the period from May 10, 2021, through April 4, 2023.

  • Marketing Period means fifteen (15) consecutive Business Days after the date on which both the Required Marigold Vote and Required Montage Vote have been received (a) commencing on the date Montage shall have received the Required Financial Information, all of which is Compliant, provided, that, if Marigold shall in good faith reasonably believe it has provided the Required Financial Information, it may deliver to Montage a written notice to that effect (stating when it believes it has completed such delivery), in which case Marigold shall be deemed to have complied with its obligation to provide the Required Financial Information on the date of delivery of such notice, unless Montage in good faith reasonably believes Marigold has not completed the delivery of the Required Financial Information and within three (3) Business Days after the delivery of such notice by Marigold, delivers a written notice to Marigold to that effect (stating with specificity which Required Financial Information Marigold has not delivered), and (b) throughout which nothing has occurred and no condition exists that would cause any of the conditions set forth in Section 7.1 and Section 7.2 to fail to be satisfied, assuming the Closing were to be scheduled for any time during such fifteen (15) Business Day period; provided, however, that (i) the Marketing Period shall end on any earlier date on which the Transaction Financing is consummated and Montage shall have obtained all of the proceeds contemplated thereby, (ii) the Marketing Period shall not be deemed to have commenced if, prior to the completion of such fifteen (15) Business Day period, (A) Deloitte & Touche LLP shall have withdrawn its audit opinion with respect to any year end audited financial statements set forth in the Required Financial Information, in which case the Marketing Period shall be deemed not to commence unless and until a new unqualified audit opinion is issued with respect to such year end audited financial statements by Deloitte & Touche LLP or another independent registered accounting firm reasonably acceptable to Montage, (B) Marigold shall have publicly announced, or the Marigold Board shall have determined, that a restatement of any material financial information included in the Required Financial Information is required, in which case the Marketing Period shall be deemed not to commence unless and until such restatement has been completed and the applicable Required Financial Information has been amended to reflect such restatement or Marigold has determined that no restatement shall be required or (C) the Required Financial Information is not Compliant (it being understood, for the avoidance of doubt, that if at any time during the Marketing Period the Required Financial Information provided on the first day of the Marketing Period ceases to be Compliant, then the Marketing Period shall be deemed not to have commenced) and (iii) (x) November 25, 2016 shall not be deemed to be a Business Day for purposes of calculating such fifteen (15) consecutive Business Days period and (y) such period (1) shall commence no earlier than January 4, 2016, (2) shall either have been completed prior to August 19, 2016 or shall not commence until September 7, 2016 and (3) shall either have been completed prior to December 21, 2016 or shall not commence until January 2, 2017.

  • ROFO Period is defined in Section 6.1(a).

  • Penalty Period has the meaning set forth in Section 6.3.

  • License Period means the period beginning from the Commencement Date and ending on the Termination Date.

  • Transition Period means the period beginning with the Registration Date and ending as of the earlier of: (i) the date of the first annual meeting of stockholders of the Company at which directors are to be elected that occurs after the close of the third calendar year following the calendar year in which the Registration Date occurs; and (ii) the expiration of the “reliance period” under Treasury Regulation Section 1.162-27(f)(2).
