The Loan Parties shall not amend, supplement or modify, or permit the amendment, the supplementing or modification of, any provision of the Borrower Sale Advisor Engagement Letter or the Borrower Financial Advisor Engagement Letter, in each case, in any manner that is adverse in any material respect to the interest of the Administrative Agent or the Lenders without the consent of the Administrative Agent.
The Loan Parties and their representatives will fully cooperate with any such advisors and consultants (including the Borrower Financial Advisor, the Borrower Sale Advisor and the Specified Liquidation Agent) and grant them full and complete access to the books and records of the Loan Parties.
Each of the Borrower and Holdings agrees not to assert any claim it might allege based on any actual or potential conflict of interest that might be asserted to arise or result from, on the one hand, the engagement of the Borrower Financial Advisor and, on the other hand, Barclays’ or its Affiliates’ relationship with Holdings as described and referred to herein.

Each of the financial institutions hereto acknowledges (i) the retention of such entities as a Borrower Financial Advisor and (ii) that such relationship does not create any fiduciary duties or fiduciary responsibilities to such financial institution on the part of such entities or their affiliates.
Prior Unless consented to by the Administrative Agent, prior to the end of the Covenant Adjustment Period, the Borrower shall not terminate the Borrower Financial Advisor unless the Borrower Financial Advisor is promptly replaced with a successor Borrower Financial Advisor whose identity and scope of engagement are reasonably acceptable to the Administrative Agent.
The Borrower Financial Advisor shall have the capacity to assume the role of the Retained Executive (hereafter defined) in the event that the Borrowers are required to engage a Retained Executive pursuant to Section 7.19.
In the event that ▇▇ ▇▇▇▇ or any Borrower Financial Advisor discontinues acting for the Borrowers, the Borrowers shall replace ▇▇ ▇▇▇▇ or such Borrower Financial Advisor within ten (10) Business Days of such discontinuation with a firm reasonably acceptable to the Administrative Agent and the Required Lenders.
