Burdensome Regulatory Condition definition

Burdensome Regulatory Condition means any condition or restriction set forth in a Regulatory Approval that would reasonably be expected to materially adversely affect the party receiving such approval.
Burdensome Regulatory Condition means any condition or restriction set forth in a regulatory approval or authorization that could reasonably be expected to have a material adverse effect on Purchaser or the Branches.
Burdensome Regulatory Condition means any condition or restriction set forth in a Regulatory Approval which would reasonably be expected to adversely affect Buyer.

More Definitions of Burdensome Regulatory Condition

Burdensome Regulatory Condition shall have the meaning stated in Section 6.1(a).
Burdensome Regulatory Condition means any requirement imposed by any Governmental Authority (other than a requirement that the Purchaser agree to such customary restrictions as are contained in the Federal Reserve Board’s current standard form of passivity commitments) that the Purchaser determines, in its reasonable good faith judgment, is materially and unreasonably burdensome on it, its investment advisor or its (or its investment advisor’s) Affiliates, limited partners, members, directors or officers, including, but not limited to, any requirement to disclose any information with regard to its (or its investment advisor’s) limited partners, non-managing members or shareholders, unless otherwise determined by the Purchaser in its sole discretion.

Related to Burdensome Regulatory Condition

  • Burdensome Condition has the meaning set forth in Section 5.06(a).

  • Burdensome Restrictions means any consensual encumbrance or restriction of the type described in clause (a) or (b) of Section 6.10.

  • HIPAA Compliant means that a Loan Party to the extent legally required (i) is or will use commercially reasonable efforts to be in compliance in all material respects with each of the applicable requirements of the so-called “Administrative Simplification” provisions of HIPAA on and as of each date that any part thereof, or any final rule or regulation thereunder, becomes effective in accordance with its or their terms, as the case may be (each such date, a “HIPAA Compliance Date”) and (ii) is not and could not reasonably be expected to become, as of any date following any such HIPAA Compliance Date, the subject of any civil or criminal penalty, process, claim, action or proceeding, or any administrative or other regulatory review, survey, process or proceeding (other than routine surveys or reviews conducted by any government health plan or other accreditation entity) that could result in any of the foregoing or that has or could reasonably be expected to have a Material Adverse Effect.

  • Regulatory Capital Event means the good faith determination by the Company that, as a result of (i) any amendment to, clarification of, or change in, the laws or regulations of the United States or any political subdivision of or in the United States that is enacted or becomes effective after the initial issuance of any share of the Series A Preferred Stock, (ii) any proposed change in those laws or regulations that is announced or becomes effective after the initial issuance of any share of the Series A Preferred Stock, or (iii) any official administrative decision or judicial decision or administrative action or other official pronouncement interpreting or applying those laws or regulations or policies with respect thereto that is announced after the initial issuance of any share of the Series A Preferred Stock, there is more than an insubstantial risk that the Company will not be entitled to treat the full liquidation preference amount of $25,000 per share of the Series A Preferred Stock then outstanding as “tier 1 capital” (or its equivalent) for purposes of the capital adequacy guidelines of the Federal Reserve (or, as and if applicable, the capital adequacy guidelines or regulations of any successor Appropriate Federal Banking Agency) as then in effect and applicable, for so long as any share of the Series A Preferred Stock is outstanding.

  • Final Approval means the Court’s order granting final approval of the Settlement.

  • Governmental Approvals means all authorizations, consents, approvals, licenses and exemptions of, registrations and filings with, and reports to, all Governmental Authorities.

  • Nonconforming zoning condition means a physical improvement on a property that does not conform with current zoning standards.
