Business Employee List definition

Business Employee List has the meaning specified in Section 4.13(a) hereof.
Business Employee List shall have the meaning set forth in Section 3.14(i).
Business Employee List means the letter provided by the Seller to the Purchaser simultaneously with the execution and delivery of this Agreement, which letter contains a true and complete list of (a) each Business Executive other than the Excluded Business Executive, (b) each individual who is employed by a Transferred Entity and (c) each individual who is actively providing services to the Seller or any of its Subsidiaries (other than the Transferred Entities) and whose service is primarily dedicated to the Business, together with such individual’s title or position, leave status, employing entity, work location, full-time or part-time status, accrued vacation, dates of service, years of credit service, current rate of hourly wage or salary, annual target cash bonus opportunity and any other compensatory entitlements.

Examples of Business Employee List in a sentence

  • Sellers shall further update such Business Employee List from time to time prior to the Closing Date.

  • The Business Employee List shall be updated in accordance with Section 6.6(a) of this Agreement.

More Definitions of Business Employee List

Business Employee List means the letter provided by the Company to Purchaser simultaneously with the execution and delivery of this Agreement, which letter contains a true and complete list of each individual who is employed by, or is actively providing services to, the Seller Group Companies, together with such individual’s title or position, age, employing entity, work location, full-time or part-time status, accrued vacation, dates of service, years of credit service, current rate of hourly wage or salary, annual target cash bonus opportunity, any other compensatory entitlements, and each Company Plan in which he or she participates or is eligible to participate.
Business Employee List has the meaning assigned thereto in Section 3.19(a).
Business Employee List means the letter provided by Parent to Buyer simultaneously with the execution and delivery of this Agreement, which letter contains a true and complete list of each individual who is employed by the Company Group as of the Agreement Date including any employee employed through a professional employer organization or other similar entity, together with such individual’s title or position, employing entity, work location (state/province and country), full-time or part-time status, regular or temporary status, overtime exempt or non-exempt classification status under the Fair Labor Standards Act as to U.S. employees or applicable Laws as to non-US employees, whether active or on temporary layoff or on leave (and, if on leave, the nature of the leave and the expected return date if known), vacation and other paid time off accrual (if applicable), start date, previous years of service credit, current rate of hourly wage or salary, each of the incentive compensation plans (bonuses, commissions etc.) in which the individual is entitled to participate, and the target amount for which the individual is eligible for in the current year.

Business Employee List means the letter provided by the Seller to the Buyer simultaneously with the execution and delivery of this Agreement, which letter contains a true and complete list of each individual who is currently employed by Seller or its applicable Affiliate and as to which Seller and Buyer have mutually agreed that the employment of such individuals shall be transferred (subject to the employee’s agreement) to the Company effective as of immediately prior to the Closing, together with such individual’s title or position, age, employing entity, work location, full-time or part-time status, accrued vacation, dates of service, years of credit service, current rate of hourly wage or salary, annual target cash bonus opportunity, and each Plan in which he or she participates or is eligible to participate.
Business Employee List has the meaning set forth in Section 4.16(b). "Certificate" has the meaning set forth in Section 3.2(c)(i).
