Business Proprietary Software definition

Business Proprietary Software means the proprietary software (excluding any Third Party Intellectual Property), in the form and content it exists as of the Effective Time, in object and source code form, listed on Schedule B to this Intellectual Property Agreement, to the extent it is used in the Business as of the Effective Time.
Business Proprietary Software means all Software included in the Owned Business IP.
Business Proprietary Software means the proprietary Software, the Copyright in which is owned by the Seller Entities, as exclusively used in connection with the operation of the Business, as listed in Section 1.1(i) of the Seller Disclosure Schedules.

  • The foregoing shall not apply to Designated Spinco Statutory Intellectual Property, Spinco Non-Statutory Intellectual Property, Business Proprietary Software (except as otherwise provided in Section 2.4) or Proprietary Business Information which may be assigned and conveyed to any third party by Spinco or its Subsidiaries without restriction.

  • The Parties agree to use reasonable best efforts to prepare and provide each other with such written documentation as may be necessary to comply with the requirements for exempting the transfer of the Business Proprietary Software from any retail sales and use Tax imposed under Chapter 6 of Title 58.1 of the Code of Virginia and/or under Division 2, Part 1 of the California Revenue and Taxation Code to the extent such exemption is available to the Parties under applicable law.

  • To the Knowledge of Seller, there is no Malicious Code in the Business Proprietary Software or the Business Systems, and Seller has not received any complaints related to any Malicious Code or Technical Deficiencies.

  • For purposes of the foregoing sentence, the term “Distributed” means that such Seller has provided a copy of the relevant Business Proprietary Software to a Third Party (other than to any service provider providing services on behalf of or for the benefit of such Seller or any of its Affiliates in the ordinary course of business), whether in source or executable code form.

  • Seller possesses all source code and other documentation and materials necessary or useful to compile and operate the Business Proprietary Software.

  • The Business Proprietary Software is stored solely on servers located in California and/or northern Virginia.

More Definitions of Business Proprietary Software

Business Proprietary Software means all computer programs, materials, know-how, object and source code, code techniques, process (if any are applicable) and related written documentation and materials developed by or on behalf of any of Parent or any of its Affiliates and used or held for use primarily in connection with the Business, including EtaPRO™Archive™, EtaPRO™ APR, EtaPRO™VirtualPlant™ and EtaPRO Predictor™.

Related to Business Proprietary Software

  • Proprietary Software means computer software developed for and owned by the Failed Bank for its own purpose and use.

  • Company Proprietary Software means all Software owned by the Company.

Notwithstanding the foregoing, Business Software expressly excludes any and all Excluded IP.

  • Supplier Software means software which is proprietary to the Supplier or its Affiliates which is used or supplied by the Supplier in the provision of the Services; Supplier Staff means all persons employed or engaged by the Supplier together with the Supplier's servants, agents, suppliers, consultants and Sub-Contractors (and all persons employed by any Sub-Contractor together with the Sub-Contractor’s servants, consultants, agents, suppliers and Sub-Contractors) used in the performance of its obligations under this Contract; Time and Materials means the pricing mechanism for the Services as may be agreed by the Parties and set out at paragraph Error: Reference source not found in the SOW; TUPE means the Transfer of Undertakings (Protection of Employment) Regulations 2006 (SI 2006/246) as amended or replaced or any other regulations or UK legislation implementing the Acquired Rights Directive; Velocity means the Metric which measures the total number of Story Points for Stories that have been accepted in a Sprint, indicating the rate of progress towards Acceptance of all Stories from the Product Backlog;

Font Software shall include all bitmap representations of typeface and typographic designs and ornaments created by or derived from the Font Software. Font Software includes upgrades, updates, related files, permitted copies, permitted conversions, and related documentation.

  • Customer Technology means Customer's proprietary technology, including Customer's Internet operations design, content, software tools, hardware designs, algorithms, software (in source and object forms), user interface designs, architecture, class libraries, objects and documentation (both printed and electronic), know-how, trade secrets and any related intellectual property rights throughout the world (whether owned by Customer or licensed to Customer from a third party) and also including any derivatives, improvements, enhancements or extensions of Customer Technology conceived, reduced to practice, or developed during the term of this Agreement by Customer.

  • SAP Software means: (i) any and all software products and Cloud Services licensed to Customer under the License Agreement as specified in software order forms or Cloud Service Order Forms (or other order forms, schedules or appendices as applicable) thereto; (ii) any new releases, updates or versions thereof made available through unrestricted shipment pursuant to the respective support agreement or warranty obligation and (iii) any complete or partial copies of any of the foregoing.

  • Contractor attributional/proprietary information means information that identifies the contractor(s), whether directly or indirectly, by the grouping of information that can be traced back to the contractor(s) (e.g., program description, facility locations), personally identifiable information, as well as trade secrets, commercial or financial information, or other commercially sensitive information that is not customarily shared outside of the company.

  • Server Software means software that provides services or functionality on a computer acting as a server.

  • Contractor attributional/proprietary information means information that identifies the contractor(s), whether directly or indirectly, by the grouping of information that can be traced back to the contractor(s) (e.g., program description, facility locations), personally identifiable information, as well as trade secrets, commercial or financial information, or other commercially sensitive information that is not customarily shared outside of the company.

  • Commercial Software means Software developed or regularly used that: (i) has been sold, leased, or licensed to the general public; (ii) has been offered for sale, lease, or license to the general public; (iii) has not been offered, sold, leased, or licensed to the public but will be available for commercial sale, lease, or license in time to satisfy the delivery requirements of this Contract; or (iv) satisfies a criterion expressed in (i), (ii), or (iii) above and would require only minor modifications to meet the requirements of this Contract.

  • Open Source Software means any Software that is subject to or licensed, provided or distributed under, any license meeting the Open Source Definition (as promulgated by the Open Source Initiative as of the date of this Agreement) or the Free Software Definition (as promulgated by the Free Software Foundation as of the date of this Agreement) or any similar license for “free,” “publicly available” or “open source” Software, including the GNU General Public License, the Lesser GNU General Public License, the Apache License, the BSD License, Mozilla Public License (MPL), and the MIT License.

  • Custom Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Custom Software.

  • Developed Software means software specifically designed for the Principal under the Contract. Depending how advanced its development is, it may be either a Product or a Service or both.
