Butterfly Shares definition

Butterfly Shares means Butterfly Class A Shares, Butterfly Class B Shares, Butterfly Class C Shares and/or Butterfly Class D Shares.

Examples of Butterfly Shares in a sentence

  • In connection with the Manager Share Exchange described in paragraphs 3.1(i)(i) to (iv), the aggregate amount to be added by the Manager to the stated capital of each class of Manager Shares will be an amount equal to the aggregate stated capital of the applicable class of Butterfly Shares so transferred to the Manager.

  • The amount of any deemed dividends resulting from the application of subsection 84(3) of the Tax Act (or the provisions of any corresponding applicable provincial tax legislation) to the purchase of all of the Butterfly Shares of each class of shares will be designated by the Corporation, to the extent permitted under the Tax Act (or the provisions of any corresponding applicable provincial tax legislation), as an eligible dividend.

  • After the time of redemption, the Strathmore Butterfly Shares will be delisted from the Exchange.

  • sweat equity shares means equity shares issued by a company to its employees or directors at a discount or for consideration other than cash for providing know-how or making available rights in the nature of intellectual property rights or value additions, by whatever name called;

  • Newco Shares means the common shares in the capital of Newco;

  • VMTP Shares has the meaning set forth in the preamble to this Agreement.

  • A Shares means a participating share of no par value in the capital of the Fund, denominated in US Dollars;

  • Merger Shares has the meaning set forth in Section 2.2(c).

  • Seller Shares means all shares of Common Stock of the Company owned as of the date hereof or hereafter acquired by a Common Holder, as adjusted for any stock splits, stock dividends, combinations, subdivisions, recapitalizations and the like.

  • Amalco Shares means common shares in the capital of Amalco;

  • Purchased Stock means a right to purchase Common Stock granted pursuant to Article IV of the Plan.

  • Primary Shares means at any time the authorized but unissued shares of Common Stock or shares of Common Stock held by the Company in its treasury.

  • Acquisition Shares means the shares of an Acquiring Fund to be issued to the corresponding Target Fund in a reorganization under this Agreement.

  • Equity Shares means the Common Shares and any shares of any other class or series of the Corporation which may from time to time be authorized for issue if by their terms such shares confer on the holders thereof the right to participate in the distribution of assets upon the voluntary or involuntary liquidation, dissolution or winding up of the Corporation beyond a fixed sum or a fixed sum plus accrued dividends;

  • Unit Shares means the Common Shares comprising part of the Units;

  • Acquired Shares has the meaning set forth in the Recitals.

  • Sold Shares shall have the meaning specified in Section 6.

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • B Shares means a participating share of no par value in the capital of the Fund, denominated in Euro(s);

  • PIPE Shares shall have the meaning given in the Recitals hereto.

  • Subco Shares means the common shares in the capital of Subco;

  • Exchange Shares has the meaning set forth in Section 2.01(b).

  • Subsidiary Shares has the meaning ascribed to it in Section 3.3(a).
