In lieu of any such fractional shares, each holder of a certificate evidencing Players Common Stock (a "Certificate") upon surrender of such Certificate for exchange shall be paid an amount in cash (without interest), rounded up to the nearest cent, determined by multiplying (i) the Average Buyer Common Stock Price, by (ii) the fractional interest to which such holder would otherwise be entitled (after taking into account all shares of Players Common Stock then held of record by such holder).
If but for the proviso in the preceding sentence the Exchange Ratio would have exceeded 0.30, Buyer may increase the Cash Consideration amount specified in clause (i) above by the amount necessary so that at the Effective Time the sum of (a) the Cash Consideration (as so increased) and (b) the Average Buyer Common Stock Price multiplied by the Exchange Ratio is equal to $8.25.
In lieu of the issuance of any such fractional share, the Buyer shall pay to each former stockholder of the Seller who otherwise would be entitled to receive a fractional share of Buyer Common Stock an amount in cash determined by multiplying (i) the Average Buyer Common Stock Price by (ii) the fraction of a share of Buyer Common Stock to which such holder would otherwise be entitled to receive pursuant to Section 1.05 hereof.
