Buyer Common Stock Price definition

Buyer Common Stock Price means the average volume weighted price of Buyer Common Stock on the Nasdaq Capital Market for the 30-day trading period prior to the Closing Date as reported on Bloomberg.
Buyer Common Stock Price means the volume weighted average sale price of Buyer Common Stock on the NYSE over the five (5) full trading days ending on the day preceding the Closing Date.
Buyer Common Stock Price on any date means the 20-day VWAP of the Buyer Common Stock as of the period immediately prior to such date as reported on the NASDAQ Capital Market.

  • In lieu of any such fractional shares, each holder of a certificate evidencing Players Common Stock (a "Certificate") upon surrender of such Certificate for exchange shall be paid an amount in cash (without interest), rounded up to the nearest cent, determined by multiplying (i) the Average Buyer Common Stock Price, by (ii) the fractional interest to which such holder would otherwise be entitled (after taking into account all shares of Players Common Stock then held of record by such holder).

Buyer Common Stock Price means the average closing sale price of Buyer Common Stock at the end of regular trading on the NASDAQ Stock Market for the 15 trading days ending on the trading day immediately preceding the Closing Date. The term "Merger Consideration" means the consideration into which any capital stock of the Company will be converted pursuant to this subsection 2.2(a).
Buyer Common Stock Price means, as of any applicable date of determination, the price per share equal to the average of the reported closing prices of the Buyer Common Stock on the principal securities exchange or securities market on which Buyer Common Stock is then traded for the five (5) trading days ending on the trading day immediately prior to the date of determination, as equitably adjusted for share splits, share dividends, combinations, recapitalizations and the like during such period.
Buyer Common Stock Price means the average closing price of Buyer Common Stock on the NYSE for the period from the first day after the date of final execution of this Agreement up to five (5) business days prior to the Closing Date. "Cashed-Out Other ISO" means the portion of an Other ISO that is cancelled and converted into the right to receive an amount in cash for each Company Share subject to the cancelled Other ISO pursuant to an Option Cancellation Agreement in the applicable form set out in Exhibit C-3 (or such other form as may be agreed in writing between Buyer and the Company prior to Closing) that is executed and submitted to the Company by a date agreed in writing between the Buyer and the Company prior to Closing and which represents a number of shares in the Company equal to the Option Partial Cash Out Percentage multiplied by the number of shares in the Company over which such Other ISO subsists (rounded up to the nearest whole share). i
