In the event Landlord or Tenant elects not to terminate this Lease in such circumstance, Tenant shall be obligated to pay only the Rent, Impositions, School Board Payments, Contingent Payments or the MAR Payment, if applicable, and Tenant shall be excused from complying with all obligations of this Lease which directly or indirectly require operation of the Development for Casino Gaming Operations until such time as a Casino Operating Contract is re-acquired by Tenant.
So long as Developer is diligently pursuing Approvals for, and construction of, the Permanent Facility, Developer may conduct Casino Gaming Operations at the Temporary Facility for a period of up to twenty-four (24) months after the Operations Commencement Date (Phase 0) (such 24-month period, the “Initial Temporary Facility Operation Period”).
BMG and Chicago OpCo expressly agree that BMG is not a Casino Manager as defined in the Host Community Agreement between the City of Chicago and Chicago OpCo dated as of June 9, 2022 (the “HCA”), and BMG is not hereby engaged to manage or operate the Casino or the Casino Gaming Operations (as such terms are defined in the HCA).
