Casino Group definition

Casino Group shall refer to Casino Xxxxxxxx-Xxxxxxxxx, a limited company with headquarters at 0 Xxxxxxxxx xx Xxxxxx, 00000 Xxxxx-Xxxxxxx, Xxxxxx, and any legal person controlled directly or indirectly by Casino Xxxxxxxx-Xxxxxxxxx, where “control” shall refer to (a) companies affiliated with Casino Xxxxxxxx- Xxxxxxxxx, (b) companies that it controls, (c) companies that control Casino Xxxxxxxx-Xxxxxxxxx, and (d) any other company that to the knowledge of its management body is controlled by the companies referred to under (a), (b) and (c).
Casino Group. Means the group of companies constituted of CGP and its direct and indirect subsidiaries.
Casino Group means all Affiliates of Casino, including GPA but excluding the Company for the purposes hereof;

Casino Group means the group which owns: 1) all the companies in which the holding company Casino Xxxxxxxx-Xxxxxxxxx SA has a direct or an indirect majority holding, where majority holding means directly or indirectly owning more than 50% of the share capital of the companies, or 2) all the so-called “Active Partnership” companies in which the holding company Casino Xxxxxxxx-Xxxxxxxxx SA directly or indirectly holds an interest representing at least 20% of the share capital or voting rights, accounted for through the use of the equity method on the Casino Group’s financial statements and accompanied by a shareholders’ agreement and a right of first refusal or purchase option, enabling, in both of these cases, Casino Xxxxxxxx-Xxxxxxxxx SA, which holds an interest, to eventually obtain control of said company.
Casino Group or “Group” means all companies controlled, directly or indirectly, by the holding company Casino Xxxxxxxx-Xxxxxxxxx, “control” meaning 1) holding directly or indirectly more than 50% of the share capital of the companies or 2) holding directly or indirectly at least 20% of the share capital or voting rights of the companies, such shareholding being consolidated, at least through the equity method, in the consolidated accounts of the Casino Group, and regarding which the Casino Group has entered into a shareholders’ agreement and has either a pre-emptive right or a purchase option allowing in both cases the Casino Group to obtain in the end the control.
