Certain Reasons means (A) a reduction in cash compensation (exclusive of bonuses) or a material reduction in benefits, except as part of a salary or benefit reduction program by the Company that is applicable generally to all executives, (B) a material demotion in responsibilities or duties, (C) relocation of Employee’s workplace to any place more than fifty miles from Dallas, Texas, without Employee’s consent or (D) a material breach by the Company of this Agreement or any other material agreement between the Company and Employee.
Certain Reasons means (i) a reduction by the Company in the Employee's base salary as in effect immediately prior to such reduction; (ii) a material reduction by the Company in the kind or level of employee benefits to which the Employee is entitled immediately prior to such reduction with the result that the Employee's overall benefits package is significantly reduced; or (iii) the relocation of the Employee to a facility or a location which increases Employee's commute by more than 25 miles, without the Employee's express written consent.

Examples of Certain Reasons in a sentence
No severance benefits shall be paid if Employee’s employment is terminated by the Company for Cause or by Employee without Certain Reasons.
In the event of Employee's termination for Certain Reasons, ISE shall pay Employee the Sign-On Bonus and Other Compensation as set forth in sections 1.2.1 and 1.2.2 under the terms therein (unless such amounts have already been paid to Employee); and any unpaid salary earned through the date of termination for Certain Reasons and such payment shall be made by ISE to Employee on the date Employee terminates employment for Certain Reasons.
If the Company terminates the Employee's employment for Cause, or if the Employee's employment with the Company is terminated by the Employee voluntarily (other than for Certain Reasons), then the Employee shall not be entitled to receive severance or other benefits under this Agreement or otherwise.

Employee agrees not to terminate the Term prior to the third (3rd) anniversary of the Effective Date, except for Certain Reasons (as defined below).
More Definitions of Certain Reasons
Certain Reasons means that the event is not due to importer's intention, but due to government policy that results in the import goods not being able to be imported to customs area so they must be re-exported or destroyed under monitoring of customs and excise officer in similar condition.
Certain Reasons means: (a) a reduction in cash compensation, or a material reduction in employee benefits, each of which does not generally affect ISE's employees; (b) a material demotion of job duties or; (c) relocation in excess of one year of Employee's regular workplace from Santa Xxxxx and Alameda Counties, California, provided however, that in each event, Employee has provided ISE written notice of Employee's intention to terminate for Certain Reasons, stating the Certain Reasons and ISE has not cured the Certain Reasons within fifteen (15) days after receipt of Employee's written notice. In the event of Employee's termination for Certain Reasons, ISE shall pay Employee the Sign-On Bonus and Other Compensation as set forth in sections 1.2.1 and 1.2.2 under the terms therein (unless such amounts have already been paid to Employee); and any unpaid salary earned through the date of termination for Certain Reasons and such payment shall be made by ISE to Employee on the date Employee terminates employment for Certain Reasons. ISE shall also pay to Employee a severance amount on the date of termination for Certain Reasons. The severance amount will be equal solely to three months base salary.

Certain Reasons means (i) a reduction by the Company in the Employee's reporting relationship, assignment of Employee, without her consent, to a position or duties inconsistent with his status as Chief Marketing Officer, or total compensation in effect immediately prior to such reduction; (ii) a material reduction by the Company in the kind or level of employee benefits to which the Employee is entitled immediately prior to such reduction with the result that the Employee's overall benefits package is significantly reduced; or (iii) the relocation of the Employee to a facility or a location which increases Employee's commute by more than 25 miles, without the Employee's express written consent.
Certain Reasons means (i) a reduction in the cash compensation of Employee (exclusive of bonuses) or a material reduction in the benefits provided to Employee, except as part of a salary or benefit reduction program by FSI or the Company that is applicable generally to employees of FSI and/or the Company at Employee's level; (ii) a material demotion in responsibilities or duties of Employee, or (iii) relocation of Employee's workplace to any place more than fifty miles from Fremont, California, provided, in each case, that Employee has given written notice of Employee's intention to terminate for Certain Reasons, citing the Certain Reason or Reasons pursuant to the notice provisions of Section 6.5, and FSI or the Company has not cured the Certain Reasons within thirty days after receipt of the notice.
