  • The Allocation shall be prepared in accordance with Section 1060 of the Code and the applicable Treasury Regulations promulgated thereunder; provided the amount of the purchase price that is allocated to the Chinese Shares and Indian Shares shall be determined in good faith by Purchaser based on a valuation report obtained by Purchaser from an independent accounting firm.
