Any Phase that is not an Approved Phase shall be referred to as a “Potential Phase.” The terms of this Agreement will apply to, and the terms of the Rental Phase 1 City Loan Documents will be substantially the form for subsequent Approved Phase unless the parties expressly agree to different terms in writing.
The Construction Contract shall provide for assignment to the City in the event of default under the City Loan Documents.

City Loan Documents means and include the following: this Permanent Financing Loan Agreement; the Agreement Containing HOME Program Requirements; the Agreement Containing Covenants; the City Note; the City Deed of Trust; the Assignment of Rents; the UCC-1 Financing Statement; the Environmental Indemnity; the Borrower’s Affidavit; and the Disbursement Agreement.

City Loan Documents. As defined in the Recitals.

City Loan Documents means those documents listed in Exhibit C attached to this Agreement which evidence and secure the repayment of the City Loan.

City Loan Documents means the City Note, the City Mortgage, and any and all other instruments, documents or agreements evidencing, securing or being executed in connection with the City Loan.

City Loan Documents means, collectively, the City Note, the Housing Authority Note, the City/Housing Authority Deed of Trust, the City/Housing Authority Regulatory Agreement, and any other document evidencing, securing, guaranteeing or otherwise relating to the City Loan and the Housing Authority Loan. City/Housing Authority Regulatory Agreement. The words “City/Housing Authority Regulatory Agreement” shall have the meaning given such term in the eighth WHEREAS paragraph to this Agreement. The words “City/Housing Authority Subordination Agreement” mean that certain Subordination Agreement between Bond Trustee, City, Housing Authority, Majority Owner and Borrower, subordinating the City/Housing Authority Deed of Trust and City/Housing Authority Regulatory Agreement to the lien and charge of the Security Instrument.

City Loan Documents means, with respect to each City Loan, (i) a Trust Agreement of the City Defeasance Trust in substantially the form attached hereto as “Exhibit D-1”, (ii) a Loan Agreement in substantially the form attached hereto as “Exhibit D-2”, (iii) a Pledge and Collateral Agreement in substantially the form attached hereto as “Exhibit D-3”, and (iv) a Promissory Note in substantially the form attached hereto as “Exhibit D-4,” together with all other documents evidencing, securing or otherwise executed in connection with such City Loan, consistent with ARTICLE X hereof. Notwithstanding anything herein or in the City Loan Documents, the terms of this Agreement shall control any inconsistent or conflicting provision in the City Loan Documents.
