Class A-1 Note Register definition

Class A-1 Note Register means the register established in accordance with clause 5.2.
Class A-1 Note Register. The meaning specified in Section 2.5(a).
Class A-1 Note Register means the register maintained in respect of the Class A-1 Notes in accordance with clause 12 of this agreement.

  • The Issuer must procure that the Class A-1 Note Register is maintained, and that Class A-1 Notes are transferred, exchanged, replaced, redeemed and cancelled, all in accordance with the provisions of the Class A-1 Notes (including the Class A-1 Note Conditions) and the Agency Agreement.

  • The Issuer, the Class A-1 Note Trustee, the Manager and each Agent (other than the Class A-1 Note Registrar) may accept the correctness of the Class A-1 Note Register and any information provided to it by the Class A-1 Note Registrar and is not required to enquire into its authenticity.

  • Upon written request at any time, the Class A-1 Note Registrar shall provide to the Issuer, the Collateral Manager, the Liquidation Agent or any Holder of a Class A-1 Note a current list of Class A-1 Noteholders as reflected in the Class A-1 Note Register.

Related to Class A-1 Note Register

  • Class A-1 Note means any of 5.604% Asset Backed Notes, Class A‑1, issued under the Indenture substantially in the form attached thereto as Exhibit A-1.

  • Equipment Note Register has the meaning specified in Section 2.07 of the Indenture.

  • Class A-1 Notes means the Class A-1 1.28000% Asset-Backed Notes, substantially in the form of Exhibit A-1 to the Indenture.

  • Class A-1 Noteholders Interest Carryover Shortfall” means, with respect to any Payment Date, the excess of the Class A-1 Noteholders’ Monthly Accrued Interest for the preceding Payment Date and any outstanding Class A-1 Noteholders’ Interest Carryover Shortfall on such preceding Payment Date, over the amount in respect of interest that is actually paid to Holders of Class A-1 Notes on such preceding Payment Date, plus interest on the amount of interest due but not paid to Holders of Class A-1 Notes on the preceding Payment Date, to the extent permitted by law, at the Class A-1 Interest Rate for the related Interest Period.

  • Class A-2a Notes means the Class A-2a 0.55% Asset-Backed Notes, substantially in the form of Exhibit A-2a to the Indenture.

  • Note Register shall have the meaning assigned to such term in Section 15.

  • Class A-1 Note Rate means, with respect to any Quarterly Interest Period, the interest rate per annum (computed on the basis of the actual number of days in such Quarterly Interest Period over a year of 360 days) equal to Three-Month LIBOR for the related LIBOR Reset Period plus 0.08%.

  • Class A-1 Noteholder means the Person in whose name a Class A-1 Note is registered on the Note Register.

  • Class A-4 Notes means the Class A-4 3.44% Asset-Backed Notes, substantially in the form of Exhibit A-4 to the Indenture.

  • Class A-2 Noteholders means the Class A-2a Noteholders and the Class A-2b Noteholders.

  • Class A-3 Notes means the Class of Auto Loan Asset Backed Notes designated as Class A-3 Notes, issued in accordance with the Indenture.

  • Class A-2a Noteholder means the Person in whose name a Class A-2a Note is registered in the Note Register.

  • Class A-2 Notes means the Class A-2a Notes and the Class A-2b Notes, collectively.

  • Class A-3 Noteholder means the Person in whose name a Class A-3 Note is registered on the Note Register.

  • Class A-4 Noteholder means the Person in whose name a Class A-4 Note is registered in the Note Register.

  • Class A-2 Note means any of the 0.51% Asset Backed Notes, Class A-2, issued under the Indenture substantially in the form attached thereto as Exhibit A-1.

  • Class A-2 Noteholder means the Person in whose name a Class A-2 Note is registered on the Note Register.

  • Class A-2b Notes means the Class A-2b Floating Rate Asset-Backed Notes, substantially in the form of Exhibit A-2b to the Indenture.

  • Class A-4 Note means any of the ___% Asset Backed Notes, Class A-4, issued under the Indenture.

  • Class A-3 Note means any of the 1.34% Asset Backed Notes, Class A-3, issued under the Indenture, substantially in the form of Exhibit A to the Indenture.

  • Class C Notes has the meaning assigned to such term in the Indenture.

  • Class A-3 Note Interest Rate means a rate per annum equal to %.

  • Class A-2b Noteholder means the Person in whose name a Class A-2b Note is registered in the Note Register.

  • Class A-1 Note Balance means, at any time, the Initial Class A-1 Note Balance reduced by all payments of principal made prior to such time on the Class A-1 Notes.

  • Class C Noteholders means the holders of any Class C Notes from time to time.

  • Class A-3 Note Balance means, at any time, the Initial Class A-3 Note Balance reduced by all payments of principal made prior to such time on the Class A-3 Notes.
