Class C Membership Units definition

Class C Membership Units refers to any units of Class C Interests issued in the future, with the Percentage Interests, Financial Rights and Membership Rights which form a part of the Class C Membership Unit to be determined by Manager if and when any such Class C Interests are established or issued. As of the Effective Date, no Class C Membership Units have been established or issued.
Class C Membership Units or “Class C Units” shall be identical to Class A Membership Units except as otherwise expressly provided in this Agreement.

Examples of Class C Membership Units in a sentence

  • From and after the date hereof, the Manager, on behalf of the Company, may in the Manager’s sole discretion, from time to time, accept subscriptions for Class C Membership Units, in each case by execution and delivery of a Subscription Agreement and such other agreements and documents as the Manager may deem necessary and appropriate.

  • Each subscriber to Class C Membership Units under this Section 3.1.3 may be admitted by the Manager on behalf of all Members as a Class C Member, provided that such subscriber or assignee, as applicable, shall in writing have accepted and adopted all of the terms and provisions of this Agreement.

  • Other than the Preferred Return for Class B Membership Units, Preferred Return for Class C Membership Units and Preferred Return for Class C-1 Membership Units, as provided for herein, no interest or annual return shall be paid on Capital Contributions.

  • The Class D Units shall, for all purposes, be the same as Class C Membership Units in all respects except that Class D Units shall be non-voting and shall not exceed a five percent (5%) ownership interest in the Company on a fully-diluted basis.

  • For the avoidance of doubt, the Class C Member’s Capital Account does not change as a result of the conversion of the Class C Membership Units.

  • The Purchasers of the securities offered, as holders of Class C Membership Units, have no voting rights over the affairs of the company.The Purchasers (the “Investors”) of the securities offered, as holders of Class C Membership Units with no voting rights, do not have the voting power to exert influence on the decisions made by the principal shareholders, with which the Investors disagree, or that negatively affect the value of the Purchasers’ securities in the Company.

  • Those Class C Members electing not to convert after the Mandatory Class C Redemption Date, shall have the option, until such Member’s Class C Membership Units have been redeemed, to convert to Class C-1 Membership Units on each anniversary of the Mandatory Class C Redemption Date, in accordance with Section 6.12.

  • All outstanding Class C Membership Units that are not Voting Class C Units on the Class C Conversion Date shall then be cancelled.

  • Based on the above shareholding structure immediately after the offering and under certain assumptions set in our business plan, the projected return for the investors in this offering isexpected to be 12.68% in 8-11 months if the offering price of our Class C Membership Units is priced at $100 per unit.

  • Valuation of Class C Membership UnitsThere is no public market for our Class C Membership Units, the securities to be issued in this offering.

Related to Class C Membership Units

  • Membership Units means the limited liability company interests in the Company held by the Members, expressed as a number of units held by each Member and set forth opposite such Member's name on Schedule I attached hereto, as amended, modified or supplemented from time to time.

  • Class B Units means the Class B Units of the Company.

  • Class B LP Units means, collectively, the Class B limited partnership units of the Partnership, and “Class B LP Unit” means any one of them.

  • Class B Membership Interest means a Class B Membership Interest in Holdings.

  • Class A Units means the Units of partnership interest in the Partnership designated as the “Class A Units” herein and having the rights pertaining thereto as are set forth in this Agreement.

  • Class A LP Units means the Class A limited partnership units of the Partnership.

  • Class A Membership Interest means a Class A Membership Interest in Holdings.

  • Partnership Units or “Units” has the meaning provided in the Partnership Agreement.

  • Class C Shares means shares of the Class C Common Stock.

  • Class C Member means a Member holding the Class C Ordinary Share.

  • Membership Unit means an outstanding common membership unit of the LLC.

  • Class B Common Units has the meaning set forth in Section 1(a) hereof.

  • Class A Common Units means a Common Unit which is designated as a “Class A Common Unit” and which has the rights, preferences and other privileges designated in Annex A hereto and elsewhere in this Agreement in respect of holders of Common Units.

  • Class D Units has the meaning ascribed to such term in the LLC Agreement.

  • Preferred Units means a Partnership Interest, including the Series A Preferred Units, designated as a “Preferred Unit,” which entitles the holder thereof to a preference with respect to distributions, or as to the distribution of assets upon any Liquidation Event, over Common Units.

  • Class B Stock means Class B Stock, par value $1.00 per share, of the Company.

  • Class B Shares means the Class B ordinary Shares in the capital of the Company of $0.0001 nominal or par value designated as Class B Shares, and having the rights provided for in these Articles.

  • Series C Preferred Units shall have the meaning provided in Section 1.

  • Class B Interests As set forth in the Trust Agreement.

  • Series A Preferred Units has the meaning assigned to such term in Section 5.11(a).

  • Series B Preferred Units shall have the meaning provided in Section 1.

  • Class A Preferred Shares shall have the meaning ascribed to it in Section 2.4(a).

  • Class B Unit means a Partnership Unit which is designated as a Class B Unit of the Partnership.

  • Class B Members means the Members holding Class B Units.

  • LTIP Units means LTIP Units, as such term is defined in the Partnership Agreement.

  • Class A Unit means any Partnership Unit that is not specifically designated by the General Partner as being of another specified class of Partnership Units.
