Class D Overcollateralization Ratio means, as of any Measurement Date, the number (expressed as a percentage) calculated by dividing (a) the Net Outstanding Portfolio Collateral Balance as of such date by (b) the Aggregate Outstanding Amount of the Class A Notes plus (i) the Aggregate Outstanding Amount of the Class B Notes plus (ii) the Aggregate Outstanding Amount of the Class C Notes (including any Class C Deferred Interest) plus (iii) the Aggregate Outstanding Amount of the Class D Notes (including any Class D Deferred Interest).
