Closed Option definition

Closed Option means any investment to which Investors are no longer permitted to make contributions to or transfers (by agreement between ABA RF and State Street), but which continues to constitute an investment under the Program.
Closed Option means any investment to which Participants and/or Employer Plans are no longer permitted to make contributions or transfers (by agreement between ABA RF and the Trustee), but which continues to represent an investment under the Trust.
Closed Option means any investment in which Participants and/or Participating Plans are no longer permitted to make contributions or transfers (by agreement between ABA RF and the Trustee), but which continues to represent an investment under the Trust.

Examples of Closed Option in a sentence

  • Under the T-3 regional contracts, batches are only used for Provider Files and for Closed Option Period claims processing in accordance with Section G of the contract.

  • To the extent that State Street pays any expenses with respect to a particular Investment Option, Closed Option, Participant account or Plan account which are properly chargeable pursuant to this Section to a Trust or the ABA Members Collective Trust, as the case may be, it shall be entitled to reimbursement therefrom.

  • If ABRA rejects such proposal, the NCT Investment Option shall remain an Investment Option or a Closed Option as long as it is offered and maintained in accordance with the requirements set forth in Sections 3.06 and 3.08 (as determined in the reasonable judgment of State Street), unless ABRA and State Street otherwise agree in accordance with the procedures set forth in Articles III and IV.

  • In conducting its role under Article 4 with respect to (a) a Fund, (b) a New Investment Option proposed to be a Fund, or (c) a Closed Option that had been a Fund when it was closed, State Street shall act in accordance with Section 2.

Related to Closed Option

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • Closed portion means that portion of a facility which an owner or operator has closed in accordance with the approved facility closure plan and all applicable closure requirements. (See also “active portion” and “inactive portion”.)

  • Related Option means an Option with respect to which a Stock Appreciation Right has been granted.

  • Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.

  • Promised Options means promised but ungranted Options that are the greater of those (i) promised pursuant to agreements or understandings made prior to the execution of, or in connection with, the term sheet or letter of intent for the Equity Financing or Liquidity Event, as applicable (or the initial closing of the Equity Financing or consummation of the Liquidity Event, if there is no term sheet or letter of intent), (ii) in the case of an Equity Financing, treated as outstanding Options in the calculation of the Standard Preferred Share’s price per share, or (iii) in the case of a Liquidity Event, treated as outstanding Options in the calculation of the distribution of the Proceeds.

  • Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to exercise the Option.

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Non-Vested Shares means any portion of the Restricted Stock subject to this Agreement that has not become vested pursuant to this Section 2.

  • Shoe Option means the Initial Purchasers’ option to purchase up to seventy five million dollars ($75,000,000) aggregate principal amount of additional Notes as provided for in the Purchase Agreement.

  • Rollover Option has the meaning set forth in Section 2.4(a).

  • Company Option means an option to purchase shares of Company Common Stock granted under the Company Incentive Plan.

  • Unissued Option Shares means the number of Shares, at a particular time, which have been reserved for issuance upon the exercise of an Option but which have not been issued, as adjusted from time to time in accordance with the provisions of section 5, such adjustments to be cumulative.

  • Vested Company Option means each Company Option outstanding as of immediately prior to the Effective Time that is vested as of immediately prior to the Effective Time or will vest solely as a result of the consummation of the Merger.

  • Number of Option Shares means shares of Stock, as adjusted from time to time pursuant to Section 9.

  • Incentive Share Option means an Option that is intended to meet the requirements of Section 422 of the Code or any successor provision thereto.

  • Top-Up Option has the meaning set forth in Section 1.04(a).

  • Company SAR means any stock appreciation right linked to the price of Company Common Stock and granted under any Company Stock Plan.

  • Parent Stock Option means any option to purchase Parent Common Stock granted under any Parent Stock Plan.

  • Optioned Stock means the Common Stock subject to an Option.

  • Rollover Options has the meaning provided in Subsection 3.1(h).

  • Unvested Company Option means any Company Option that is not a Vested Company Option.

  • Vested Shares means "Vested Shares" as defined in the Award Agreement.

  • Parent Option means any option to purchase Parent Common Stock which was granted pursuant to a Parent Option Plan.

  • Number of Options For each Component, as provided in Annex A to this Confirmation.6 Option Entitlement: One Share Per Option Strike Price: USD [_____] Cap Price: USD [_____]; provided that in no event shall the Cap Price be reduced to an amount less than the Strike Price in connection with any adjustment by the Calculation Agent under this Confirmation.

  • Optioned Shares means the shares of Common Stock that are issued pursuant to the exercise of the Options;

  • Covered Call Option means an exchange traded option entitling the holder, upon timely exercise and payment of the exercise price, as specified therein, to purchase from the writer thereof the specified underlying Securities (excluding Futures Contracts) which are owned by the writer thereof and subject to appropriate restrictions.
