Closed Periods definition

Closed Periods. For safety reasons, Resident shall vacate the room/suite at times Housing & Residence Life is closed. To avoid being considered trespassing on University property, Resident must not remain in Housing & Residence Life after it closes.
Closed Periods means the total of (a) the number of days prior to -------------- Closing during which PanAmSat Corporation Common Stock could not be sold as a result of notices given by HCI pursuant to the last sentence of Section 3(a) of the Principal Stockholders Agreement, and (b) any Delay Periods, Hold Back Periods or Interruption Periods (each as defined in the Registration Rights Agreement) which occur after the Commencement Date (as defined in Section 2(b)(i)) and result in a delay or suspension of a Demand Registration or a Piggyback Registration (as defined in the Registration Rights Agreement) by the Minority Stockholders or their Permitted Transferees.
Closed Periods means the periods listed in Condition 5.3.

Examples of Closed Periods in a sentence

  • Notwithstanding the above, the Participant’s heirs, in the case of the Participant’s death, or the Participant, in the case of disability (as defined under the French Sub-plan), are not subject to the restriction on the sale of Shares during Closed Periods.

  • Any Shares acquired upon vesting of the Stock Award may not be sold during certain Closed Periods as provided for and defined by Section L.

  • You may not sell any shares of Common Stock issued upon vesting of the French-Qualified RSUs during certain Closed Periods, to the extent applicable to the shares underlying the French-Qualified RSUs granted by the Company, as described in the French Sub-Plan.

  • The Grantee may be subject to restrictions on sale of PBA Shares during Closed Periods as set forth in the French Sub-Plan.

  • These Closed Periods will apply to the grant of French Qualified RSUs as long as and to the extent such Closed Periods are applicable under French law.

  • A Put Option Exercise Notice in respect of Swedish Notes will not take effect against the Issuer before the date on which the relevant Swedish Notes have been transferred to the account designated by the Swedish Programme Agent and blocked for further transfer by the Swedish Programme Agent (such date will be the first date of a closed period for the purposes of General Condition 2.1g) (Closed Periods in respect of Danish Notes, Norwegian Securities, Swedish Securities and Finnish Securities)).

  • Notwithstanding the above, the Participant’s heirs, in the case of the Participant’s death, or the Participant, in the case of Disability (as defined under the French Sub-plan), are not subject to the restriction on the sale of Shares during Closed Periods.

  • A Put Option Exercise Notice in respect of Norwegian Notes will not take effect against the Issuer before the date on which the relevant Norwegian Notes have been transferred to the account designated by the Norwegian Programme Agent or blocked for further transfer by the Norwegian Programme Agent (such date will be the first date of a closed period for the purposes of General Condition 2.1g) (Closed Periods in respect of Danish Notes, Norwegian Securities, Swedish Securities and Finnish Securities)).

  • In respect of Finnish Notes, the Holder must deposit a Put Option Exercise Notice with the Finnish Programme Agent and transfer the relevant Finnish Notes to the book-entry securities account designated by the Finnish Programme Agent and blocked for further transfer by the Finnish Programme Agent (such date will be the first date of a closed period for the purposes of General Condition 2.1g) (Closed Periods in respect of Danish Notes, Norwegian Securities, Swedish Securities and Finnish Securities)).

  • Any Shares acquired upon payout of the Stock Award may not be sold during certain Closed Periods as provided for and defined by Section L.

  • Closed Period means (i) ten quotation days preceding and three quotation days following the disclosure to the public of the consolidated financial statements or annual statement of the Company; or (ii) the period as from the date the corporate management possesses material information which could, if disclosed to the public, significantly impact the quotation of the Shares of the Company, until ten quotation days after the day such information is disclosed to the public.

  • Closed Position means the opposite of an Open Position.

  • Pre-Closing Periods means any taxable period ending on or before the Closing Date.

  • Extended Period As defined in Section 9.04(b).

  • Specified Period means the period beginning on the commencement date and terminating in accordance with section 72(6) of the Act;
