Collaboration Hit definition

Collaboration Hit means (a) each Evogene Project Hit, (b) each Special Collaboration Hit or Internal Non-Field Hit that becomes a Collaboration Hit pursuant to Section 4.2.1 and 4.2.2, respectively, (c) each GeneSpec Gene that becomes a Collaboration Hit [* * *].
Collaboration Hit means a macrocycle compound arising from screening the HITCREATE™ Library against a Collaboration Target in the course of the Research Program to have specific and selective binding affinity for a Collaboration Target and meeting the applicable Hit Criteria. Collaboration Hits include the Optimized Collaboration Hits.

Examples of Collaboration Hit in a sentence

  • If Monsanto rejects such limitations, then such Encumbered Special Collaboration Hit shall cease to constitute a Special Collaboration Hit hereunder, and neither Monsanto nor Evogene shall have any rights or obligations hereunder with respect to such Encumbered Special Collaboration Hit, except that Evogene’s licensing rights with respect to such Encumbered Special Collaboration Hit shall remain subject to Section 4.1.

  • As set forth in the definition of “Special Collaboration Hit,” each such Evogene Non-Project Hit shall, unless and until it has undergone Core Validation or Model Plant Validation in accordance with the terms hereof, constitute a Special Collaboration Hit.

  • In addition, at the end of each Collaboration Year each party will provide to the Steering Committee a list of all of its Sublicensees during the past year (and all Sublicensees whose sublicenses expired or terminated during such period), including the Collaboration Hit Homologs, Special Collaboration Hits, Excluded Collaboration Hits and/or Excluded PlaNet Xxxx Xxxxx, as applicable, licensed to such Sublicensees, the territory of such sublicense and the Monsanto Crop(s) covered by such sublicense.

  • Monsanto shall provide Evogene with all data reasonably available to Monsanto or its Affiliates that is necessary to continue development work with such Excluded Collaboration Hit or Excluded PlaNet Xxxx Xxxxx (including the results of any field trials).

  • Evogene shall not license any Homolog of any Special Collaboration Hit (including any Encumbered Special Collaboration Hit except to the extent subject to any Existing or Future Encumbering Agreement) to any Third Party for use in the Monsanto Crops for the longer of (a) the end of the Exclusivity Period or (b) the Non-Disclosure Period for such Special Collaboration Hit.

  • When Monsanto begins regulatory data preparation with respect to a particular Collaboration Hit Homolog, Special Collaboration Hit or PlaNet Gene Homolog, Monsanto will notify Evogene thereof.

  • For avoidance of doubt, this Section 2.10.1 shall not apply to any Evogene Hit resulting from an Independent Discovery Round, or any Intellectual Property relating thereto, until such time as such Evogene Hit becomes a Collaboration Hit, a Special Collaboration Hit, or a Homolog of either.

  • Once commenced, any RePack Analyses, PlaNet Analyses, GeneSpec Analyses and GeneDex Analyses conducted through an Internal Independent G2P Round on Collaboration Hit Homologs cannot become part of a Third-Party Independent G2P Round and any RePack Analyses, PlaNet Analyses, GeneSpec Analyses and GeneDex Analyses conducted through an Internal Independent G2P Round on Special Collaboration Hits can become part of a Third-Party Independent G2P Round.

  • If the Phase Advancement Criteria have been met for a Collaboration Hit (or any Collaboration Hit Homolog thereof) in a Main Monsanto Crop, [* * *].

  • Thereafter each Internal Non-Field Hit that has met the [* * *] shall constitute a Collaboration Hit for all purposes of this Agreement, except that it shall not be subject to the Monsanto Diligence Obligations and shall not be included in any determination of Evogene’s compliance with the Evogene Diligence Obligations.

Related to Collaboration Hit

  • Collaboration Know-How means all Know-How conceived, discovered, developed or otherwise made by or on behalf of a particular Party or any of its Affiliates or permitted subcontractors of any of the foregoing (solely or jointly by or on behalf of a particular Party or any of its Affiliates or permitted subcontractors of any of the foregoing) in the course of [***].

  • Collaboration has the meaning set forth in Section 2.1.

  • Collaboration Compound means any of the following: (a) FG-4592, (b) any HIF Compound (other than FG-4592) that is added to this Agreement pursuant to Section 3.6, and (c) any salts, esters, complexes, chelates, crystalline and amorphous morphic forms, pegylated forms, enantiomers (excluding regioisomers), prodrugs, solvates, metabolites and catabolites of any of the foregoing ((a) or (b)).

  • Collaboration Target means the Initial Collaboration Targets set forth on Exhibit F and any Additional Target or Substitute Target that is selected in accordance with Section 3.3 of this Agreement.

  • Collaboration IP means Collaboration Know-How and Collaboration Patents.

  • Collaboration Term has the meaning set forth in Section 2.2.

  • Research Program Term means the duration of the Research Program as it may be extended or terminated as described more fully in Section 2.10 and Article 8.

  • Collaboration Patent Rights means Patent Rights claiming Collaboration Know-How.

  • Collaborating physician means the physician who,

  • Collaboration Patents means any and all Patents that claim or cover any of the Collaboration Know-How.

  • Research Program has the meaning set forth in Section 3.1.

  • Collaboration Technology means all Collaboration Patents and Collaboration Know-How.

  • Lead Compound means any compound of lead other than galena which, when treated in the manner described below, yields to an aqueous solution of hydrochloric acid a quantity soluble lead compound exceeding, when calculated as lead monoxide, five percent of the dry weight of the portion taken analysis.

  • Collaboration Product means any pharmaceutical product in finished form that contains a Collaboration Compound, either as the sole active ingredient or in combination with one or more other active ingredients, and all present and future formulations, dosages and dosage forms thereof.

  • Massive Multiauthor Collaboration Site (or “MMC Site”) means any World Wide Web server that publishes copyrightable works and also provides prominent facilities for anybody to edit those works. A public wiki that anybody can edit is an example of such a server. A “Massive Multiauthor Collaboration” (or “MMC”) contained in the site means any set of copyrightable works thus published on the MMC site.

  • Research Period means the research period as described in the Commissioned Research Plan. In accordance with the provisions of this Agreement, in the event that the Agreement ended prior to the completion date of the research originally set, the date the Agreement ends shall be read as the research period.

  • Program Technology means Program Know-How and Program Patents.

  • Development Candidate means a Compound that meets the Development Candidate Criteria for the initiation of a Development Program for the treatment of CF, and which is the subject of a notice from Vertex to CFFT that Vertex intends to commence formal pre-clinical development of the Compound in the Field pursuant to the provisions of Section 3.1 hereof.

  • Research Plan shall have the meaning set forth in Section 2.1.

  • Biomarker means a characteristic that is objectively measured and evaluated as an indicator of normal biological processes, pathogenic processes, or pharmacologic responses to a specific therapeutic intervention. Biomarkers include, but are not limited to, gene mutations or protein expression.

  • Licensed Program means the executable processing programs of licensed information, which is composed of various modules in the Licensed Software package provided by the Licensor.

  • Collaborative matter means a dispute, transaction, claim, problem, or issue for resolution, including a dispute, claim, or issue in a proceeding, that is described in a collaborative law participation agreement and arises under the family or domestic relations law of this state, including any of the following:

  • Research Project means a discrete scientific endeavor to answer a research question or a set of research questions related to medical marijuana and is required for a medical marijuana research license.

  • Licensed Compound means a TAK-385 Licensed Compound or a TAK-448 Licensed Compound.

  • Collaborative agreement means a voluntary, written, or electronic arrangement between one

  • Collaborative lawyer means a lawyer who represents a party in a collaborative law process.
