Commercial Operation Date Deadline definition

Commercial Operation Date Deadline. The date described as such in Section 3.2(A)(3) (Commercial Operation Date Deadline).
Commercial Operation Date Deadline shall have the meaning provided in Section 4.4 hereof.
Commercial Operation Date Deadline means December 31, 2027, which date may not be extended for any reason.

  • Seller may, but shall not be required to, achieve Commercial Operation on a date that is earlier than the Commercial Operation Date Deadline; provided, however, if Seller intends or expects to achieve Commercial Operation on a date that is earlier than three (3) months prior to the Commercial Operation Date Deadline, it must so notify Buyer in writing of such date by no later than one (1) month prior to when Seller intends or expects to achieve the Commercial Operation Date.

  • If Seller has reason to believe that the Facility is not likely to timely achieve any Condition Precedent, Milestone, the Completion Deadline, or the Commercial Operation Date Deadline, Seller shall provide written notice to Buyer with all relevant facts.

  • Seller must provide Notice to Buyer of such proposed adjustments to the quantities in Attachment C no less than six (6) months prior to the current Commercial Operation Date Deadline (based on the current Completion Deadline).

  • Notwithstanding the foregoing, this Article shall not limit the amount of damages payable to Buyer if this Agreement is terminated as a result of Seller’s failure to achieve the Completion Deadline and/or Commercial Operation Date Deadline, or otherwise.

  • The Commercial Operation Date shall occur within thirty (30) days after the Completion Deadline, as extended pursuant to Section 4.2 (the "Commercial Operation Date Deadline").

  • A failure to achieve the Commercial Operation Date by the Commercial Operation Date Deadline shall be treated in accordance with the provisions of Section 2.4(B) (Failure to Meet Commercial Operation Date Deadline).

  • If Seller has not achieved the Commercial Operation Date within one hundred eighty (180) Days of the Commercial Operation Date Deadline, Company shall have the right, notwithstanding any other provision of this Agreement to the contrary, to terminate this Agreement with immediate effect by declaring an Event of Default pursuant to Section 8.1(A)(1) and issuing a written termination notice to Seller pursuant to Section 8.2(B) (Right to Terminate).

  • Commercial Operation Date (COD) means the date certified by the DISCOM’s committee upon successful commissioning (as per provisions of the PPA) of the project when all equipments as per rated capacity have been installed and energy has flown into the grid.

  • Commercial Operation Date means the date on which a Material Project is substantially complete and commercially operable.

  • Commercial Operation means the condition of operation in which the complete equipment covered under the Contract is officially declared by the Owner to be available for continuous operation at different loads up to and including rated capacity. Such declaration by the Owner, however, shall not relieve or prejudice the Contractor of any of his obligations under the Contract.
