Common Access Shares definition

Common Access Shares means the common access shares of 0.001 pence each in the capital of the Company having the rights set out in the Company's articles of association;
Common Access Shares means the Common Access Shares of 0.001 pence each in the capital of Smith & Nephew, having the rights set out in the Smith & Nephew Articles;
Common Access Shares means the common access shares of 0.001 pence each in the capital of Smith & Nephew, as subdivided or consolidated from time to time, having the rights set out in the articles of association of Smith & Nephew;

  • This right is afforded to each holder of New Ordinary Shares by means of the Common Access Shares issued by Smith & Nephew which are held on trust for all ordinary shareholders of Smith & Nephew Group in a dividend access trust.

  • Smith & Nephew Group shall procure that the Common Access Shares allotted and issued by Smith & Nephew are issued fully paid.

  • As a result of the Scheme, Smith & Nephew Ordinary Shareholders will receive the same number of New Ordinary Shares as they currently hold, which, together with the rights attaching to the Common Access Shares but subject as described in paragraph 3.6(g) of Part X of the Listing Particulars, will confer on Smith & Nephew Ordinary Shareholders equivalent economic and voting rights.

  • Holders of Smith & Nephew ADSs will continue to hold the same number of ADSs which, as a result of the Scheme, but subject to the rights attaching to the Common Access Shares and subject as described in paragraph 3.6(g) of Part X of this document, will enjoy equivalent economic rights in Smith & Nephew Group.

Related to Common Access Shares

  • Excess Shares shall have the meaning set forth in Section 3.1(a).

  • Class B Warrants means, collectively, the Common Stock purchase warrants in the form of Exhibit C attached hereto delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which warrants shall be exercisable immediately and have a term of exercise equal to one year.

  • Switched Exchange Access Service means the offering of transmission or switching cervices to Telecommunications Carriers for the purpose of the origination or termination of telephone toll service. Switched Exchange Access Services include: Feature Group A, Feature Group B, Feature Group D, 800/888 access, and 900 access and their successors or similar Switched Exchange Access Services.

  • Class B Units means the Class B Units of the Company.

  • Excess Stock means Excess Stock as defined in Section 7.4 of the Company's Amended and Restated Articles of Incorporation.

  • Exchange Access means as defined in the Act.

  • Class A LP Units means the Class A limited partnership units of the Partnership.

  • Class B LP Units means, collectively, the Class B limited partnership units of the Partnership, and “Class B LP Unit” means any one of them.

  • Existing Common Stock means shares of common stock of Delphi that are authorized, issued, and outstanding prior to the Effective Date.

  • Unvested LTIP Units has the meaning provided in Section 4.4(d) hereof.

  • Class B Common Shares means the Class B Convertible Voting Common Shares of the Company, par value $1.00 per share.

  • Share Distribution means a dividend payable in shares of any class or series of capital stock, Convertible Securities or other equity securities of the Corporation or any other Person.

  • Initial Common Units means the Common Units sold in the Initial Offering.

  • Class C Shares means shares of the Class C Common Stock.

  • Class B Common Units has the meaning set forth in Section 1(a) hereof.

  • Trading Access means the right granted to a Person to send RFQs or place Orders and/or enter into transactions for certain or all Swaps to the SEF Platform or execute Swaps subject to the BSEF Rules.

  • Class B Preferred Shares means class B preferred shares of Pembina;

  • Common Unit means a common unit representing a limited partner interest in the Partnership having the rights set forth in the Partnership Agreement.

  • Class D Common Stock means the Class D Common Stock, par value $0.01 per share, of the Company.
