Common Access Shares definition

Common Access Shares means the Common Access Shares of 0.001 pence each in the capital of Smith & Nephew, having the rights set out in the Smith & Nephew Articles;
Common Access Shares means the common access shares of 0.001 pence each in the capital of the Company having the rights set out in the Company's articles of association;
Common Access Shares means the common access shares of 0.001 pence each in the capital of Smith & Nephew, as subdivided or consolidated from time to time, having the rights set out in the articles of association of Smith & Nephew;

Examples of Common Access Shares in a sentence

  • This right is afforded to each holder of New Ordinary Shares by means of Common Access Shares issued by Smith & Nephew, which are held on trust for all ordinary shareholders of Smith & Nephew Group in an access trust.

  • The Nominee hereby declares that it holds and will hold the Common Access Shares from time to time allotted to it upon bare trust for Shareholders absolutely in accordance with the Articles of Association of the Company and of Group respectively and the Trust shall be known as the "Smith & Nephew Common Access Trust".

  • As a result of the Scheme, Smith & Nephew Ordinary Shareholders will receive the same number of New Ordinary Shares as they currently hold, which, together with the rights attaching to the Common Access Shares but subject as described in paragraph 3.6(g) of Part X of this document, will confer on Smith & Nephew Ordinary Shareholders equivalent economic and voting rights.

  • Park Hazard Inspection reports are due: 1) pre-opening the park in the spring; 2) as hazards are noted; and 3) on or before October 15, or within 30 days of the permit’s termination or revocation.

  • Excess Shares shall have the meaning set forth in Section 3.1(a).

  • Class B Warrants means, collectively, the Common Stock purchase warrants in the form of Exhibit C attached hereto delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which warrants shall be exercisable immediately and have a term of exercise equal to one year.

  • Switched Exchange Access Service means the offering of transmission or switching cervices to Telecommunications Carriers for the purpose of the origination or termination of telephone toll service. Switched Exchange Access Services include: Feature Group A, Feature Group B, Feature Group D, 800/888 access, and 900 access and their successors or similar Switched Exchange Access Services.

  • Class B Units means the Class B Units of the Company.

  • Excess Stock means Excess Stock as defined in Section 7.4 of the Company's Amended and Restated Articles of Incorporation.

  • Exchange Access is As Defined in the Act.

  • Class A LP Units means the Class A limited partnership units of the Partnership.

  • Class B LP Units means, collectively, the Class B limited partnership units of the Partnership, and “Class B LP Unit” means any one of them.

  • Existing Common Stock means shares of common stock of Delphi that are authorized, issued, and outstanding prior to the Effective Date.

  • Class B Common Shares means (x) the Company’s Class B Common shares, $0.002 par value per share, the terms of which may be designated by the board of directors of the Company in a certificate of designations and (y) any share capital into which such preferred shares shall have been changed or any share capital resulting from a reclassification of such preferred shares (other than a conversion of such preferred shares into Common Shares in accordance with the terms of such certificate of designations).

  • Initial Common Units means the Common Units sold in the Initial Offering.

  • Class C Shares means the shares of Class C common stock of the Company.

  • Class B Common Units has the meaning set forth in Section 1(a) hereof.

  • Class A Preferred Shares shall have the meaning ascribed to it in Section 2.4(a).

  • Company Series C Preferred Stock means the Series C Preferred Stock, par value $0.0001 per share, of the Company.

  • Company Series A Preferred Stock means the Series A Preferred Stock, par value $0.0001 per share, of the Company.

  • A Shares means a participating share of no par value in the capital of the Fund, denominated in US Dollars;

  • Common Unit means a common unit representing a limited partner interest in the Partnership having the rights set forth in the Partnership Agreement.

  • Class D Common Stock means the Class D Common Stock, par value $0.01 per share, of the Company.

  • Company Series B Preferred Stock means the Series B Preferred Stock, par value $0.0001 per share, of the Company.

  • Over-Allotment Units means the additional number of Private Units the Sponsor will be required to purchase in the event that the underwriters in the Company’s initial public offering exercise their over-allotment option, as described in the prospectus relating to the Company’s initial public offering.

  • Series C Preferred Units shall have the meaning provided in Section 1.

  • Class A Common Units means the Company's Class A Common Units.

  • Class A Common Shares means shares of the Class A Common Stock, par value $.01 per share, of the Company.

  • Class A Warrants means, collectively, the Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Warrants shall be exercisable immediately and have a term of exercise equal to five (5) years, in the form of Exhibit A attached hereto.
