Company Foreign Plans definition

Company Foreign Plans shall refer to each plan, program or Contract that is subject to or governed by the laws of any jurisdiction other than the United States, and which would have been treated as a Company Benefit Plan had it been a United States plan, program or Contract. All Company Benefit Plans and Company Foreign Plans are in writing. The Company has made available to Buyer the most recent copies of each Company Benefit Plan and each Company Foreign Plan, and amendments thereto, together with, to the extent applicable, (i) trust documents and the most recent summary plan description and any summaries of material modifications thereto, (ii) the two most recent annual reports (Form 5500 series) and all schedules thereto, (iii) the most recent financial statements and/or actuarial valuation reports, and (iv) the most recent Internal Revenue Service determination letter.

  • The Company shall use its reasonable best efforts to make available to Parent, within thirty (30) days following the date of this Agreement, a list and copies of the Company Foreign Plans.

Company Foreign Plans has the meaning specified in SECTION 5.16(B).
Company Foreign Plans means all Company Benefit Plans (1) that are subject to or governed by the Laws of any jurisdiction other than the United States, including Canadian provincial or federal pension benefits standards legislation or the Income Tax Act (Canada) and/or (2) in which current or former employees, individual independent contractors or directors of the Company or its Subsidiaries located in any jurisdiction other than the United States or any of their respective beneficiaries are entitled to participate or have any entitlements (including rights) thereunder and (B) “Company Foreign Pension Plans” means all Company Foreign Plans that are pension schemes, including any supplemental/supplementary pension/retirement plan.
Company Foreign Plans means collectively, all benefit plans that are comparable to the Company Benefit Plans and that are maintained pursuant to the Laws of a country other than the United States. For purposes of this Agreement, the term “plan,” when used with respect to Company Foreign Plans, shall mean a scheme or other employee benefit program or arrangement in accordance with specific country usage. The Company has made available to ABI true, complete and correct copies of (A) each Company Benefit Plan (or a written summary thereof, in the case of any unwritten Company Benefit Plans), other than those Company Benefit Plans that have been filed as exhibits to the Company SEC Filings prior to the date of this Agreement, (B) the most recent annual report with respect to each Company Benefit Plan required to be filed on Form 5500 with accompanying schedules and attachments, (C) the most recent summary plan description prepared for each Company Benefit Plan, and (D) each trust agreement relating to the funding or payment of benefits under any Company Benefit Plan.
