Company Group Employee definition

Company Group Employee means, as of any relevant time, each employee of any member of the Company Group.
Company Group Employee means a director, officer or employee of the Company or the Company Group at the date of this Agreement;
Company Group Employee means any current or former or retired employee, consultant or director of the Company or any Related Party.

  • Except to the extent required for the performance of Employee’s duties on behalf of the Company Group, Employee shall not remove from facilities of any member of the Company Group any information, property, equipment, drawings, notes, reports, manuals, invention records, computer software, customer information, or other data or materials that relate in any way to the Confidential Information, whether paper or electronic and whether produced by Employee or obtained by the Company Group.

  • A Company Group Employee shall be deemed covered by this Section 9(c) while so employed or retained and for a period of six (6) months thereafter.

  • Except to the extent required for the performance of Employee’s duties on behalf of the Company Group, Employee shall not remove from facilities of any member of the Company Group any equipment, drawings, notes, reports, manuals, invention records, computer software, customer information, or other data or materials that relate in any way to the Confidential Information, whether paper or electronic and whether produced by Employee or obtained by the Company Group.

  • In the course of Employee’s employment with the Company and the performance of Employee’s duties hereunder on behalf of any member of the Company Group, Employee will be provided with, and will have access to, Confidential Information (as defined below).

  • Employee also acknowledges that during the course of Employee’s employment with any company within the Company Group, Employee has received specialized training and has been associated with the goodwill of the Company Group.


More Definitions of Company Group Employee

Company Group Employee means each employee of the Parent Acquired Companies.
Company Group Employee has the meaning set forth in Section 4.08(a)(ii).

Company Group Employee means any employee of any Group Company. “Company Material Adverse Effect” means any event, change, development, occurrence, result or effect (each an “Effect” and collectively, “Effects”) that (i) has had, or would reasonably be expected to have, individually or in the aggregate, a material adverse effect on the business, financial condition or results of operations of the Business, taken as a whole, or (ii) would reasonably be expected to prevent, materially impair or materially delay (or has so prevented or materially impaired or materially delayed) the ability of the Seller Parties to consummate the Transaction or perform their obligations under this Agreement or the other Transaction Documents on the terms set forth herein or therein; provided, however, that solely with respect to clause (i), no such Effect resulting from any of the following will be deemed, either alone or in combination, to constitute or contribute to, or will be taken into account in determining whether there has been, or would reasonably be expected to be, a Company Material Adverse Effect: (a) changes in the general conditions in the industries in which the Business operates or where the products or services of the Business are sold; (b) the conditions or trends of financial, debt, capital, credit or securities markets (including interest rates or exchange rates); (c) any condition or change generally affecting the global economy, financial markets or political, economic, monetary or regulatory conditions in any geographic region in which the Business operates; (d) any act of civil unrest, outbreaks or escalations of hostilities or war (whether or not declared), military actions or any act of sabotage, cyberattack or terrorism, including an outbreak or escalation of hostilities involving the United States or any other country
Company Group Employee means any and all Persons employed by any Company Group Entity as of the date hereof, but, for the avoidance of doubt, shall not include Eligible Business Employees.
Company Group Employee means an employee of any member of the Company Group as of the date hereof.
