Company Sale Notice definition

Company Sale Notice shall have the meaning set forth in Section 6.2(a).

Company Sale Notice means a Notice of Offering pursuant to Subsection 4.1 from the Company to each Security Holder stating that the Company proposes to effect a Company Public Sale Event.

• Subject to subsection 5.2, the Company may at any time effect a Company Public Sale Event pursuant to a Registration Statement filed by the Company if the Company gives each Securities Holder a Company Sale Notice, provided that such Company Sale Notice is given not less than 21 days prior to the initial filing of the related Registration Statement.

• The Company Sale Notice shall offer the Securities Holders the opportunity to participate in such offering and include the number of shares of Registrable Common which represents the best estimate of the lead managing underwriter (or, if not known or applicable, the Company) that will be available for sale by the Securities Holders in the proposed offering.

• Five Arrows shall deliver written notice to the Company setting forth the net consideration per share of Common Stock and Preferred Stock to be paid in connection with any such Company Sale Transaction and the terms of payment thereof (the "Company Sale Notice") and the Company shall promptly upon receipt thereof deliver a copy thereof to the Remaining Stockholder.

• In addition, upon receipt of the Company Sale Notice, the CSO Shareholders shall have the rights provided in Section 10.2.

Xxxxxx at least ten (10) business days prior to the date on which Blend Stockholders holding a majority of Equity Securities expect to consummate a Company Sale, which notice shall specify (i) the Equity Securities that the Third Party Purchaser(s) intend(s) to purchase in such Company Sale and (ii) the proposed amount and form of consideration (including the price per Share) and material terms and conditions of payment offered by the Third Party Purchaser(s) and a summary of all other material terms pertaining to the Transfer (collectively, the “Third Party Terms”).
