Comparator Companies definition

Comparator Companies means the companies listed on Appendix I, attached hereto, which are the companies that currently comprise the Office Property Sector of the FTSE NAREIT All REIT Index; provided that, unless otherwise determined by the Administrator in its sole discretion, no such company will be deemed a Comparator Company if such company ceases to have a class of common equity securities listed on a national securities exchange. In the event that a company listed on Appendix I ceases trading earlier than the last six (6) months of the Performance Period, the total return of an index, as determined by the Administrator, calculated in the same manner as Absolute Total Shareholder Return is calculated, for the entire period shall be substituted for such Comparator Company’s Absolute Total Shareholder Return. In the event that a company listed on Appendix I ceases trading during the last six (6) months of the Performance Period, the Administrator shall calculate and utilize such Comparator Company’s Absolute Total Shareholder Return ranking relative to Comparator Companies on the trading day immediately prior to the announcement of the transaction or event leading to the company no longer having a class of common equity securities listed on a national securities exchange, for comparison to the other full-period Comparator Company Absolute Total Shareholder Return results.
Comparator Companies. “Comparator Companies” means, collectively, the companies set forth in Appendix 1; provided, however, that the Comparator Companies will be subject to change as described below. A company will be removed from the group of Comparator Companies if, during the TSR Performance Period, it ceases to have a class of equity securities that is both registered under the Exchange Act and actively traded on a U.S. public securities market (unless such cessation is due to any of the circumstances described in clauses (i) through (iv) of the following sentence), including as a result of such Comparator Company being acquired by another person or group of persons. The TSR for a Comparator Company will be negative one hundred percent (-100%) for the TSR Performance Period, if such company: (i) files for bankruptcy, reorganization, or liquidation under any chapter of the U.S. Bankruptcy Code; (ii) is the subject of an involuntary bankruptcy proceeding that is not dismissed within thirty (30) days; (iii) is the subject of a stockholder approved plan of liquidation or dissolution; or (iv) ceases to conduct substantial business operations. For the avoidance of doubt, the acquisition of a company within the group of Comparator Companies during the TSR Performance Period by another person or group of related persons by itself does not result in the company being treated as ceasing to conduct substantial business operations (and, for the avoidance of doubt, such acquired Comparator Company shall instead be removed from the group of Comparator Companies).
Comparator Companies means those companies the prices of whose ordinary shares comprise the FT-SE 100 Share Index (including the Company) on the first day of the relevant Measurement Period on which the London Stock Exchange is open for trading.

  • If there are 1,967 Comparator Companies (inclusive of the Company), and the Company ranked 984th out of 1,967, the performance would be at the 50th percentile: .500 = 1 – ((984-1)/(1,967-1)).

  • If Xxxxxxxxxxx’s TSR Rank is no less than the top quartile of the Comparator Companies, then the number of earned PSUs may not be less than 50% of the Target Award Opportunity.


More Definitions of Comparator Companies

Comparator Companies means, collectively, all of the companies which comprise the S&P 500 Health Care Index as of the first day of the Performance Period, in each case excluding (x) the Company and (y) any companies that cease to exist as of the end of the Performance Period, other than (i) due to an acquisition or merger where the Comparator Company is the surviving entity whose stock is publicly listed on a national securities exchange (provided that, in such circumstances, the Company Relative TSR Percentile Ranking may be equitably adjusted by the Committee in its discretion) or (ii) due to bankruptcy or delisting (in which case such Comparator Company’s TSR shall be ranked at the bottom of the Comparator Companies).
Comparator Companies means the companies in the Index as of January 1, 2021 (collectively, the “Comparator Group”). Any companies that are added to or removed from the Index after January 1, 2021 shall be disregarded in the calculation of the Company’s Relative Total Shareholder Return Position for all purposes.

Comparator Companies. The Phantom Share Price shall be calculated within 45 days after each quarterly close of the books of the companies in FFSG and shall remain in effect until it is recalculated after the end of the following quarterly close of such books. The Committee shall cause written notice of each determination of the Phantom Share Price to be given to each holder of a Right promptly after each such calculation is made. The date such notice is given is hereinafter referred to as the "Notice Date".
