Compensation Warrants shall have the meaning ascribed thereto in subsection 2(c) of this Agreement;

Compensation Warrants means the warrants to be granted to the Agent as compensation for its services in relation to this Offering entitling the Agent to purchase up to that amount of Compensation Shares as is equal to 10% of the aggregate number of Offered Units issued pursuant to this Offering.
