COMPLIANCE WITH LAWS IN GENERAL. Company, Shareholders and Company's licensed professional employees, and the conduct of the Business and use of the Assets, have complied with all applicable laws, rules, regulations and licensing requirements, including, without limitation, the Federal Environmental Protection Act, the Occupational Safety and Health Act, the Americans with Disabilities Act and any environmental laws and medical waste laws, and there exist no violations by Company, any Shareholder or any licensed professional employee of Company of any Federal, state or local law or regulation. Company and Shareholders have not received any notice of a violation of any Federal, state and local laws, regulations and ordinances relating to the operations of the Business and Assets and no notice of any pending inspection or violation of any such law, regulation or ordinance has been received by Company.
COMPLIANCE WITH LAWS IN GENERAL. Dentist and Dentist's licensed professional employees, and the conduct of the Business and use of the Assets, have complied with all applicable laws, rules, regulations and licensing requirements, including, without limitation, the Federal Environmental Protection Act, the Occupational Safety and Health Act, the Americans with Disabilities Act and any environmental laws and medical waste laws, and there exist no violations by Dentist or any licensed professional employee of Dentist of any Federal, state or local law or regulation. Dentist has not received any notice of a violation of any Federal, state and local laws, regulations and ordinances relating to the operations of the Business and Assets and no notice of any pending inspection or violation of any such law, regulation or ordinance has been received by Dentist.
COMPLIANCE WITH LAWS IN GENERAL. Contributor, Shareholders and Contributor's licensed professional employees, and the conduct of the Business and use of the Assets, have complied with all applicable laws, rules, regulations and licensing requirements, including, without limitation, the Federal Environmental Protection Act, the Occupational Safety and Health Act, the Americans with Disabilities Act and any environmental laws and medical waste laws, and there exist no violations by Contributor, any Shareholder or any licensed professional employee of Contributor of any Federal, state or local law or regulation. Contributor and Shareholders have not received any notice of a violation of any Federal, state and local laws, regulations and ordinances relating to the operations of the Business and Assets and no notice of any pending inspection or violation of any such law, regulation or ordinance has been received by Contributor.
COMPLIANCE WITH LAWS IN GENERAL. Neither Seller nor any Shareholder has knowledge of material violations of any federal, state and local laws, regulations and ordinances relating to the operations of the Business and the Assets, including, without limitation, the Federal Environmental Protection Act, the Occupational Safety and Health Act, the Americans with Disabilities Act and any Environmental Laws, and no notice of any pending inspection or violation of any such law, regulation or ordinance has been received by Seller or any Shareholder.
COMPLIANCE WITH LAWS IN GENERAL. The Company, the Shareholders and Company's licensed employees have complied with all applicable laws, rules, regulations and licensing requirements, including, without limitation, the Federal Environmental Protection Act, the Occupational Safety and Health Act, the Americans with Disabilities Act and any environmental laws and medical waste laws, and there exist no violations by the Company, any Shareholder or any licensed employee of the Company of any federal, state or local law or regulation unless the failure to do so would have no material negative impact upon the Company. Neither the Company nor any Shareholder has received any notice of a violation of any federal, state and local laws, regulations and ordinances relating to the operations of the business and assets of the Company and no notice of any pending inspection or violation of any such law, regulation or ordinance has been received by the Company or any Shareholder unless such notice or violation would have no material negative impact upon the Company.
COMPLIANCE WITH LAWS IN GENERAL. OPTA and the OPTA Subsidiaries hold all permits, licenses, variances, exemptions, orders, registrations and approvals of all Governmental Entities which are required for the operation of the business of OPTA and the OPTA Subsidiaries and that are material to OPTA and the OPTA Subsidiaries, taken as a whole (collectively, the “OPTA Permits”), except where the failure to have any such OPTA Permits would not reasonably be expected to have a Material Adverse Effect. OPTA and the OPTA Subsidiaries are in material compliance with the terms of the OPTA Permits and all applicable statutes, laws, ordinances, rules and regulations, except where the failure to be in compliance would not reasonably be expected to have a Material Adverse Effect.
COMPLIANCE WITH LAWS IN GENERAL. Except as disclosed in the HEALTHSOUTH Documents, HEALTHSOUTH has not received any notices of material violations of any federal, state and local laws, regulations and ordinances relating to its business and operations, including, without limitation, the Occupational Safety and Health Act, the Americans with Disabilities Act, the Medicare or applicable Medicaid statutes and regulations and any Environmental Laws, and no notice of any pending inspection or material violation of any such law, regulation or ordinance has been received by HEALTHSOUTH with respect to any alleged violation which, if it were determined that a violation occurred, would have a material adverse effect on HEALTHSOUTH.
COMPLIANCE WITH LAWS IN GENERAL. Seller, the Shareholders and Seller's physician and licensed employees, and the conduct of the Business and use of the Assets, have complied with all applicable laws, rules, regulations and licensing requirements, including, without limitation, the Federal Environmental Protection Act, the Occupational Safety and Health Act, the Americans with Disabilities Act and any environmental laws and medical waste laws, and there exist no violations by Seller, any Stockholder or any physician or licensed employee of Seller of any federal, state or local law or regulation. Neither Seller nor any Shareholder has received any notice of a violation of any federal, state and local laws, regulations and ordinances relating to the operations of the Business and Assets and no notice of any pending inspection or violation of any such law, r e g ulation or ordinance has been received by Seller or any Shareholder.
COMPLIANCE WITH LAWS IN GENERAL. Except for matters disclosed pursuant to or described in Sections 3.10, 3.14 and 3.16, Seller and the Subsidiaries have not received any notices of violations of any Laws with respect to the businesses represented by the Transferred Assets, which violations, if established, would have a Material Adverse Effect on the Transferred Assets.
COMPLIANCE WITH LAWS IN GENERAL. Except as set forth in Section 3.17 of the Company Disclosure Schedule, the Company has not received as of the date of this Agreement any notices of, nor to the best of its knowledge have there been any, violations of any federal, state and local laws, regulations and ordinances relating to its business and operations that would have a Company Material Adverse Effect.
