Upon receipt of the Conflict Notice, the Competing Class shall enter into good faith negotiations with the Non-Competing Class to resolve any or all substantial conflicts of interest resulting from the ownership of businesses competing with the businesses of the Company.
If a majority in interest of the Members of one class (the "Non-Competing Class") concludes in good faith that the Company is no longer the primary vehicle by which the Members of the other class (together with its Affiliates) (the "Competing Class") is engaged in the Chemicals Business, then the Non-Competing Class shall have the right to send written notice of such good faith conclusion ("Conflict Notice") to the Competing Class.
The Conflict Notice shall always be sent by the interested party to the party(ies) involved in the Conflict with a copy to all other Shareholders.
Cousins and TRST shall discuss such determination in good faith, and in the event that they are unable to agree upon a resolution to such potential conflict within thirty (30) days after receipt of the Conflict Notice, then TRST shall have the right to require that Cousins cease providing leasing services for that Investment, effective sixty (60) days after receipt of the Conflict Notice.
TIAA LLC shall advise Reckson by written notice within 21 days after receipt of the Transfer Notice (the "Conflict Notice") if the Proposed Non-Approved Entity Transfer creates a TIAA LLC Conflict and whether such entity will be added to the Approved Entity List.

The Conflict Notice will either request the client’s consent to the Adviser’s vote recommendation or may request the client to vote the proxy directly or through another designee of the client.
If TIAA LLC does not send the Conflict Notice within such 21-day period, the Proposed Non-Approved Entity Transfer shall be deemed approved by TIAA LLC.
In the event Consultant engages in such Competitive Activity following receipt of a Conflict Notice, the Company may elect to terminate this Agreement immediately, subject to the Company’s obligation to pay Consultant the Fee pursuant to Exhibit B attached hereto.
