Constituent Company means an existing company that is participating in a merger or consolidation with one or more other existing companies;
Constituent Holder means any stockholder, collective investment fund included within a Qualifying Fund (as defined in paragraph (E) below) or beneficial holder whose stock ownership is counted for the purposes of qualifying as holding the Proxy Access Request Required Shares (as defined in paragraph (E) below) or qualifying as an Eligible Stockholder (as defined in paragraph (E) below);
Constituent organization means an organization that is party to a merger.
Constituent entity means:
(i) with respect to an MNE Group having a Reporting Entity resident for tax purposes in the Isle of Man, (A) any separate business unit of an MNE Group that is included in the consolidated financial statements for financial reporting purposes or would be so included if equity interests in such business unit of an MNE Group were traded on a public securities exchange, (B) any separate business unit that is excluded from the MNE Group’s consolidated financial statements solely on size or materiality grounds, and (C) any permanent establishment of any separate business unit of the MNE Group included in (A) or (B) above provided the business unit prepares a separate financial statement for such permanent establishment for financial reporting, regulatory, tax reporting, or internal management control purposes; and
(ii) with respect to an MNE Group having a Reporting Entity resident for tax purposes in the United States, any “Constituent Entity” as defined in the relevant U.S. Treasury regulations;
Constituent corporation means a corporation or a foreign corporation that:
Constituent Documents means with respect to any Person, as applicable, such Person’s certificate of incorporation, articles of incorporation, by-laws, certificate of formation, articles of organization, limited liability company agreement, management agreement, operating agreement, shareholder agreement, partnership agreement or similar document or agreement governing such Person’s existence, organization or management or concerning disposition of ownership interests of such Person or voting rights among such Person’s owners.
Constituent Person has the meaning specified in Section 5.6(b).
Constituent Corporations has the meaning set forth in the second recital of this Agreement.
New Parent shall have the meaning assigned to such term in the definition of the term “Change in Control”.
Exchangeco has the meaning ascribed thereto in the introductory paragraph;
Articles of Incorporation means the Articles of Incorporation of the Company, as amended from time to time.
Parent Organizational Documents means the certificate of incorporation and bylaws, each as amended as of the date of this Agreement, of each of Parent and Merger Sub.
Restated Certificate of Incorporation means the Restated Certificate of Incorporation of the Company, as amended.
constituency means an Assembly constituency 2* * * ;
Amalgamating Corporations means both of them;
Merger Sub I has the meaning set forth in the Preamble.
Certificate of Amalgamation means the certificate of amalgamation to be issued by the Director in respect of the Amalgamation;
Surviving Corporation has the meaning set forth in Section 2.1.
New Organizational Documents means the documents providing for corporate governance of New Valaris Holdco and the Reorganized Debtors, including charters, bylaws, operating agreements, or other organizational documents or shareholders’ agreements, as applicable, consistent with section 1123(a)(6) of the Bankruptcy Code (as applicable).
Reorganized Parent means, Core Scientific, Inc., a Delaware corporation, on and after the Effective Date.
Company Certificate of Incorporation means the certificate of incorporation of the Company.
Constituent means any State resident or other person
Resolution of Shareholders means either:
Reorganized Company means the domestic stock company into which a mutual company has been converted, converted and merged, or converted and consolidated.
Delaware Bank has the meaning specified in the preamble to this Trust Agreement.
Corporate Reorganization means any change in the legal existence of any Subject Entity (other than a Capital Reorganization) including by way of amalgamation, merger, winding up, continuance or plan of arrangement.
