Constituent Company means an existing company that is participating in a merger or consolidation with one or more other existing companies;
Constituent Holder means any stockholder, collective investment fund included within a Qualifying Fund (as defined in paragraph (D) below) or beneficial holder whose stock ownership is counted for the purposes of qualifying as holding the Proxy Access Request Required Shares (as defined in paragraph (D) below) or qualifying as an Eligible Stockholder (as defined in paragraph (D) below);
Constituent organization means an organization that is party to a merger.
Constituent entity means an entity that is a party to a merger.
Constituent corporation means any corporation which engages with the Company, its Parent or any Subsidiary in a transaction to which Section 424(a) of the Code applies (or would apply if the option assumed or substituted were an ISO), or any Parent or any Subsidiary of such corporation.
Constituent Documents means with respect to any Person, as applicable, such Person’s certificate of incorporation, articles of incorporation, by-laws, certificate of formation, articles of organization, limited liability company agreement, management agreement, operating agreement, shareholder agreement, partnership agreement or similar document or agreement governing such Person’s existence, organization or management or concerning disposition of ownership interests of such Person or voting rights among such Person’s owners.
Constituent Person has the meaning set forth in Section 16.4(d) hereof.
Constituent Corporations has the meaning set forth in the second recital of this Agreement.
New Parent shall have the meaning assigned to such term in the definition of the term “Change in Control”.
Exchangeco has the meaning ascribed thereto in the introductory paragraph;
Articles of Incorporation means the Articles of Incorporation, Declaration of Trust, or other similar organizational document as the case may be, of a Fund as the same may be amended from time to time.
Parent Organizational Documents means the certificate of incorporation, bylaws (or equivalent organizational or governing documents), and other organizational or governing documents, agreements or arrangements, each as amended to date, of each of Parent and Acquisition Sub.
Acquisition Sub shall have the meaning set forth in the Preamble.
Restated Certificate of Incorporation means the Restated Certificate of Incorporation of the Company, as amended.

Amalgamating Corporations means both of them;
Merger Sub I has the meaning set forth in the Preamble.
Certificate of Amalgamation means the certificate of amalgamation to be issued by the Director in respect of the Amalgamation;
Surviving Corporation has the meaning set forth in Section 2.1.
New Organizational Documents means the documents providing for corporate governance of New Valaris Holdco and the Reorganized Debtors, including charters, bylaws, operating agreements, or other organizational documents or shareholders’ agreements, as applicable, consistent with section 1123(a)(6) of the Bankruptcy Code (as applicable).
Reorganized Parent means, Core Scientific, Inc., a Delaware corporation, on and after the Effective Date.
Company Certificate of Incorporation means the Amended and Restated Certificate of Incorporation of the Company.
Constituent means any State resident or other person
Resolution of Shareholders means either:
Reorganized Company means the domestic stock company into which a mutual company has been converted, converted and merged, or converted and consolidated.
Substantial Stockholder means any Participant who at the time of grant owns directly or is deemed to own by reason of the attribution rules set forth in Section 424(d) of the Code, Shares possessing more than 10% of the total combined voting power of all classes of stock of HSI.
