Consultant Representatives definition

Consultant Representatives means all persons engaged by the Consultant in the performance of its obligations under the Contract including:
Consultant Representatives means any employees, associates, agents or subcontractors used by Consultant to perform the Services.
Consultant Representatives means sales representatives introduced by CONSULTANT to SmartCool, who have received SmartCool’s written consent to act as sales representatives and have signed a separate Regional Sales Representative Agreement.

  • In the event that Consultant or Consultant Representatives become legally compelled to disclose any Confidential Information (as defined in the Non-Disclosure Agreement signed by the Parties), it will provide Company with reasonable notice so that Company may seek a protective order or other appropriate remedy or waive compliance with the provisions of the Agreement.

  • The Consultant will (and will cause the Consultant Representatives to) dedicate appropriate attention, time and effort to Company in connection with the Services.

  • Without the Company’s prior written consent, neither Consultant nor any of its Representatives shall, at any time, directly or indirectly: (i) use any Confidential Information for any purpose; or (ii) disclose or otherwise communicate any Confidential Information to any person or entity (except Consultant Representatives who have a need to know and who agree to be bound by the terms hereof).

  • The Consultants and the Consultant Representatives shall not do or perform any act in violation of any Securities Laws or other applicable securities law.

  • The Consultant will, at the Consultant’s own expense, obtain and maintain ordinary course business licenses (such as municipal licenses or registration as a Delaware LLC) required by the Consultant and the Consultant Representatives to perform the Services.

  • Consultant will ensure that all Consultant Representatives involved in the Services are obligated to assign to Consultant or TherapeuticsMD all right, title, and interest each may have in any such Invention.

  • Neither the Consultants nor the Consultant Representatives are authorized to assume or create any obligation or responsibility, express or implied, on behalf of, or in the name of, the Company or to bind the Company in any manner.
