Conveyancing Documents definition

Conveyancing Documents means the Cyprus #9 Deed, Xxxxxx #9 Sublease, Cyprus Creek & Xxxxxx #9 Lease and Sublease, Cyprus Creek #9 Lease, and Overriding Royalty Agreement, collectively and/or singularly in any manner.
Conveyancing Documents means the deeds (including special warranty deeds (or their local equivalent) and assignment and assumption of lease agreements and such other documents required to transfer the title of Seller or the applicable Selling Subsidiaries, as the case may be, in the Transferred Real Property, to be entered into by Seller and Buyer as of the Closing Date in such form and upon such terms and conditions as shall be mutually agreed upon by Seller and Buyer.
Conveyancing Documents means (i) the Assignment and Bill xx Sale, substantially in the form attached to the A&D Agreement in all material respects, and (ii) the other documents and instruments to executed and delivered at the Closing in connection with the sale, assignment and transfer of the Properties and related obligations, substantially in the form previously furnished to the Limited Partners and its counsel in all material respects.

Examples of Conveyancing Documents in a sentence

  • Without limiting the generality of the foregoing, Grantee hereby further acknowledges and agrees that warranties of merchantability and fitness for a particular purpose are excluded from the transaction contemplated by the Conveyancing Documents, as are any warranties arising from a course of dealing or usage of trade.

  • The Acceptance of the Conveyancing Documents by the Buyer or his nominee, as the case may be, shall be deemed to be full performance and discharge of every agreement and obligation of the Seller to the Buyer herein contained or expressed, except as so noted.

  • All of the foregoing are subject to the Exceptions and Reservations set forth below and to the exceptions and reservations and footnotes contained in the Conveyancing Documents and the exhibits thereto.


More Definitions of Conveyancing Documents

Conveyancing Documents means a bill of sale and assignment and assumption agreement and such other instruments and documents as may be reasonably requested by Purchasers in order to complete the transfer of (i) the U.S. Acquired Assets and the U.S. Assumed Liabilities from Hudson U.S. and, in the case of the Washington D.C. Lease, Parent, to DTI U.S., and (ii) the U.K. Acquired Assets and the U.K. Assumed Liabilities from Hudson U.K. to DTI U.K.
Conveyancing Documents means the quitclaim deeds required to transfer the Seller’s or Selling Subsidiary’s title (as applicable) in the GMS Real Property in the form attached hereto as Exhibit C.
Conveyancing Documents shall have the meaning of the same defined term set forth in Section 4.2.
Conveyancing Documents has the meaning specified in Section 6.1(k).
