During the Cooperation Period, the Company shall provide Bandera with at least five (5) Business Days’ advance written notice of each opening and expiration of each blackout period, and Bandera shall not purchase or sell, directly or indirectly, any securities of the Company during any blackout periods applicable to all directors under the Company’s xxxxxxx xxxxxxx policy.
Unless otherwise mutually agreed in writing by each Party, this Agreement shall terminate on the expiration of the Cooperation Period.
Section 3(a) of the Cooperation Agreement is hereby amended by adding the following proviso at the end of the definition of “Cooperation Period”: “; provided that solely for the purposes of Section 3(c)(i)(A), the Cooperation Period shall end at 9:00 a.m. Central Time on the earlier of (x) the day after the record date for the 2026 Annual Meeting and (y) April 1, 2026”.
During the Cooperation Period, the number of directors serving on the Board shall not exceed eight (8) directors unless the Board (or a duly authorized committee thereof) determines, in good faith, after consultation with outside legal counsel, that the failure to increase the number of directors serving on the Board would constitute a breach of fiduciary duties to the Company and the Company’s stockholders.
This Agreement will terminate upon the earlier of (x) the occurrence of the Advisor Early Termination Date or (y) the expiration of the Cooperation Period.
