Corporate Performance Measures definition

Corporate Performance Measures means specified levels of earnings per share, the attainment of a specified price of the Company’s common stock, specified levels of earnings before interest expense and taxes, operating profit, return to stockholders (including dividends), return on equity, earnings, revenues, pretax return on total capital, cash flow, cost reduction goals, economic value added, or any combination of the foregoing, as selected by the Committee for a specified performance or measurement period for purposes of this Plan, and as such measures may be adjusted for major nonrecurring and non-operating expense and income items, as determined by the Company and as acceptable to the Committee in its sole discretion, based on the facts and circumstances involved, as determined pursuant to generally accepted accounting principles, and as consistently applied by the Committee.
Corporate Performance Measures means the specific metrics used to measure performance at the corporate level.
Corporate Performance Measures for any period, means the performance measures to be taken into consideration in determining the Performance Award Payout Multiplier in respect of any Performance Award, the weighting and criteria of such Corporate Performance Measures as determined by the Board in accordance with Section 6(c);

Examples of Corporate Performance Measures in a sentence

  • The weighting of the individual measures comprising the Corporate Performance Measures shall be determined by the Committee in its sole discretion and, following such determination, the Committee shall determine the applicable Payout Multiplier, which shall be not less than 0% and not more than 200%.

  • The weighting of the individual measures comprising the Corporate Performance Measures shall be determined by the Committee in its sole discretion having regard to the principal purposes of the Plan and, upon the assessment of all Corporate Performance Measures, the Committee shall determine the Corporation's ranking.

  • In the case of an Award based upon a combination of Individual Performance Measures and Corporate Performance Measures, specific limits may be imposed on the portion of the payout that is based upon Individual Performance Measures.

  • Further, the payment amount or number of Shares delivered to a Service Provider following the vesting of a Performance Award may fluctuate based upon the terms of the applicable Corporate Performance Measures and Payout Multiplier.


More Definitions of Corporate Performance Measures

Corporate Performance Measures means such measures of overall performance of the Company as shall be determined for a Plan Year pursuant to Section 3.3. For any Plan Year, the Corporate Performance Measures shall be announced during the first quarter of the Plan Year.
Corporate Performance Measures for any fiscal year means the performance measures to be taken into consideration in making Awards under the Plan, which may include, without limitation, the following: (i) Total Unitholder Return over such fiscal year or years; and (ii) such additional measures as the Committee or the Board, in its sole discretion, shall consider appropriate in the circumstances;

Corporate Performance Measures means the corporate performance goals upon which the payment of an Award may be conditioned. Any Corporate Performance Measure(s) may be defined in accordance with generally acceptable accounting principles or otherwise, and may be used to measure the performance of the Company and its Affiliates on a consolidated basis, or any Affiliate or business unit or segment of the Company individually, or any combination thereof, as the Committee may deem appropriate. Any Corporate Performance Measure may also be compared against similar measures for a group of comparator or peer companies, or against a published or special index, or against any goal or benchmark, as the Committee, in its sole discretion, deems appropriate. The Committee may define or make adjustments to any Corporate Performance Measure as it deems appropriate in its discretion, including, for example, to provide that a measure that refers to “income” may include or exclude all or a portion of catastrophe losses, catastrophe loss adjustment expenses, and/or gains or losses on investments or be subject to other adjustments.
Corporate Performance Measures means specified levels of earnings per share, the attainment of a specified price of the Company's common stock, EBITDA Target, operating profit, return to stockholders (including dividends), return on equity, earnings, revenues, market share, cash flow, cost reduction goals, economic value added, corporate objectives, or any combination of the foregoing, or any other financial measure of company performance as selected by the Company for a specified performance or measurement period for purposes of this Plan, and as such measures may be adjusted for nonrecurring and non-operating expense and income items or as otherwise determined by the Company in its sole discretion. The Company has sole and absolute discretion to calculate corporate financial performance based upon the selected Corporate Performance Measures for purposes of the Plan for any given Measurement Period, and its determinations shall be final and binding on all parties.
Corporate Performance Measures means the corporate performance goals upon which the payment of an Award may be conditioned, which are set forth in Exhibit A.
