Correctly Rendered Invoice means an invoice that:

Counterfeit Goods means Deliverables or separately-identifiable items or components of Deliverables that: (a) are an unauthorised copy or substitute of an Original Equipment Manufacturer or Original Component Manufacturer (collectively, “OEM”) item; (b) are not traceable to an OEM sufficient to ensure authenticity in OEM design and manufacture; (c) do not contain proper external or internal materials or components required by the OEM or are not constructed in accordance with OEM design; (d) have been re-worked, re-marked, re-labelled, repaired, refurbished, or otherwise modified from OEM design but are represented as OEM authentic or as new; or (e) have not passed successfully all OEM required testing, verification screening, and quality control processes. Deliverables means all goods, supplies or services to be provided under this Agreement, including Intellectual Property. Delivery Date means the date specified on the Purchase Order under the field ‘Delivery Date’.

Correctly Rendered Invoice means a tax invoice as defined by A New Tax system (Goods and Services Tax) Act 1999(Cth); which detailed the amount due based on the cost detailed in this Contract. Mater Data means any metadata, information, materials, data, datasets or databases to the extent provided by or on behalf of Mater or to the extent created, processed, produced or derived by or on behalf of the Supplier using that information, materials, data, datasets or databases. Mater Inputs means Mater’s Personnel, equipment, premises, documents, access and any other resources that Mater will provide or make available to the Supplier using that information, materials, data, datasets or databases. Cyber Loss means any loss, damage, liability, claim, cost or expense of any nature directly or indirectly caused by, contributed to by, resulting from, arising out of or in connection with any Cyber Act or Cyber Incident including, but not limited to, any action taken in controlling, preventing, suppressing or remediating any Cyber Act or Cyber Incident. Cyber Act means an unauthorised, malicious or criminal act or series of related unauthorised, malicious or criminal acts, regardless of time and place, or the threat or hoax thereof involving access to, processing of, use of or operation of any IT System.
