COVID Measures definition

COVID Measures means any quarantine, “shelter in place,” “stay at home,” workforce reduction, social distancing, shut down, closure, sequester, safety or similar Law, directive, guidelines or recommendations promulgated by any Governmental Authority, including the Centers for Disease Control and Prevention and the World Health Organization, in each case, in connection with or in response to COVID-19, including the CARES Act and the Families First Coronavirus Response Act.
COVID Measures means such actions as are reasonably necessary (A) to protect the health and safety of the Target Companies’ employees and other individuals; (B) to respond to disruptions caused by Covid-19; or (C) in response to government orders; provided, that following any such suspension, to the extent that any Person took any actions pursuant to the immediately preceding proviso that caused deviations from its business being conducted in the ordinary course of business consistent with past practice that can reasonably be reversed or altered, to resume conducting its business in the ordinary course of business consistent with past practice in all material respects as soon as reasonably practicable.
COVID Measures means (i) any quarantine, “shelter in place,” “stay at home,” workforce reduction, social distancing, shutdown, closure, sequester, safety or similar Law, directive, guidelines or recommendations promulgated by any industry group or any Governmental Authority, including the Centers for Disease Control and Prevention and the World Health Organization, in each case, in connection with or in response to COVID-19, including the CARES Act and the Families First Coronavirus Response Act, or any other response to COVID-19 (including any such response undertaken by any similarly situated industry participants), and (ii) the reversal or discontinuation of any of the foregoing.

  • Except in connection with the execution and delivery of this Agreement and the consummation of the Contemplated Transactions, and the discussions, negotiations and transactions related thereto, from January 1, 2022 to the date of this Agreement, Nikola and the Nikola Subsidiaries have conducted their business in the Ordinary Course of Business in all material respects (other than with respect to any COVID Measures).

COVID Measures means any applicable mandate, guideline or recommendations of a Governmental Entity (including the Centers for Disease Control and Prevention and the World Health Organization), Order or Law issued, adopted or in force (or announced to be issued, adopted or in force) regarding COVID-19, including any “shelter in place,” “stay home” or other restrictions on the freedom of activities of individuals or businesses. “COVID-19” means SARS-CoV-2 or COVID-19, and any evolutions or mutations thereof. “CRA” means Canada Revenue Agency. “Credit Agreement” means that certain ABL Credit Agreement, dated as of November 9, 2023, by and among Company, CH Seller, XX Xxxxxxx, Ally Bank, as Administrative Agent,
COVID Measures has the meaning set forth in the Merger Agreement.

  • COVID-19 Measures means any quarantine, “shelter in place”, “stay at home”, workforce reduction, social distancing, shut down, closure or sequester order, guideline, recommendation or Law, or any other applicable Laws, guidelines or recommendations by any Governmental Entity in connection with or in response to COVID-19.

  • Supportive measures means individualized services that are offered to the complainant or the respondent designed to restore or preserve equal access to the District’s education program or activity without unreasonably burdening the other party. The supportive measures must be non-disciplinary and non-punitive in nature; offered before or after the filing of a formal complaint or where no formal complaint has been filed; and offered to either party as appropriate, as reasonably available, and without fee or charge. Examples of supportive measures include, but are not limited to: measures designed to protect the safety of all parties or the District’s educational environment, or deter sexual harassment; counseling; extensions of deadlines or other course-related adjustments; modifications of work or class schedules; campus escort services; mutual restrictions on contact between the parties; changes in work or class locations; leaves of absence; and increased security and monitoring of certain areas of the campus.

  • Protective Measures means appropriate technical and organisational measures which may include: pseudonymising and encrypting Personal Data, ensuring confidentiality, integrity, availability and resilience of systems and services, ensuring that availability of and access to Personal Data can be restored in a timely manner after an incident, and regularly assessing and evaluating the effectiveness of the such measures adopted by it;

  • Preventive measures means any reasonable measures taken by any person after an incident has occurred to prevent or minimize pollution damage.

  • Pandemic Measures means any quarantine, “shelter in place,” “stay at home,” workforce reduction, social distancing, shut down, closure, sequester, immunization requirements, safety or similar Law, directive, guidelines or recommendations promulgated by any Governmental Authority, including the Centers for Disease Control and Prevention and the World Health Organization, in each case, in connection with or in response to a pandemic, including COVID-19.

  • Effective Technological Measures means those measures that, in the absence of proper authority, may not be circumvented under laws fulfilling obligations under Article 11 of the WIPO Copyright Treaty adopted on December 20, 1996, and/or similar international agreements.

  • Technology protection measure means a specific technology that blocks or filters Internet access to visual depictions that are:

  • Mitigation Measures means “mitigation measures” as defined in subsection 2(1) of the Canadian Environmental Assessment Act, 2012.

Performance Measures may vary from Performance Period to Performance Period and from Participant to Participant, and may be established on a stand-alone basis, in tandem or in the alternative.

  • Business Critical means any function identified in any Statement of Work as Business Critical.

  • Qualifying Energy Efficiency Measures (EEMs) means either (i) standard gas or electric EEMs (i.e., measures found on any of the Standard Initiative applications); or (ii) measures eligible under the Custom Initiative approved by Ameren Illinois; or (iii) measures found in the Streetlighting or Retro-commissioning Initiative as identified in official program materials found on the Ameren Illinois Energy Efficiency website. The following technologies are not Qualifying EEMs: (i) technologies that do not demonstrate measurable and verifiable energy savings, including power conditioning; (ii) technologies that displace electrical energy use or natural gas to another fuel (i.e. fuel switching); or (iii) renewable energy projects (solar, wind power, etc.). Eligible gas measures do not include propane or butane measures.
