Cronograma de Entregas Ajustado tendrá el significado asignado en la Sección 2.4(i). 1.2. “Anticipo” tendrá el significado asignado en la Sección 3.2(b). 1.3. “Filial o Filiales” significa, respecto de cada Parte, o, en caso de que aplique, BioNTech, una sociedad, firma, asociación u otra entidad o Persona que directa o indirectamente controle a esa Parte o sea controlada por ella o se encuentre bajo control común con dicha Parte, incluyendo sin limitación Pfizer EEUU o, en caso de que aplique, BioNTech. A los efectos de esta definición, se presume que existe “control” (incluyendo, con significado correlativo, las expresiones “controlada por” y “bajo control común con”) si se cumple alguna de las siguientes condiciones: (a) en caso de personas jurídicas, la propiedad directa o indirecta de no menos del cincuenta por ciento (50%) del capital o acciones con derecho a votar la elección de directores de dicha entidad o de una matriz directa o indirecta de dicha entidad, y (b) en caso de entidades sin personalidad jurídica, la propiedad directa o indirecta de no menos del cincuenta por ciento (50%) de la participación en el capital, con facultad para ordenar la gestión y políticas de dichas entidades sin personalidad jurídica. 1.4. “Acuerdo” significa este Acuerdo de Fabricación y Suministro y todos sus Anexos, según sea modificado, modificado y reformulado, complementado o de otra manera sustituido de tiempo en tiempo. 1.5. “Asignación” tendrá el significado asignado en la Sección 2.5(a). 1.6. “Autorización” significa la Aprobación Condicional o la Autorización de Comercialización. 1.7. “BioNTech” tendrá el significado asignado en el preámbulo. 1.8. “Pliego de Condiciones Vinculante” significa el pliego de condiciones vinculante concertado por y entre las Partes, con fecha 17 de diciembre de 2020.

  • SUD means a condition in which the use of one or more substances leads to a clinically significant impairment or distress per the DSM-5.

  • Primer means a coating labeled and formulated for application to a substrate to provide a firm bond between the substrate and subsequent coats.

  • Promotores means individuals who are members of the community who function as natural helpers to address some of their communities’ unmet mental health, health and human service needs.   • Argentina means the Republic of Argentina.

  • Diocese means the Church of England diocese in which the Academies are situated;
