Crosstex Entities definition

Crosstex Entities means Crosstex MLP and all Subsidiaries of Crosstex MLP, with each such entity a “Crosstex Entity.” “Crosstex Equity Plans” has the meaning set forth in Section 2.6.
Crosstex Entities means, collectively, Crosstex, the General Partner, Crosstex GP LLC and their respective Subsidiaries. “Crosstex Financial Statements” shall have the meaning specified in Section 3.03(a).
Crosstex Entities means, collectively, Crosstex, the General Partner, Crosstex GP LLC and their respective Subsidiaries.

Examples of Crosstex Entities in a sentence

  • The Crosstex Entities maintain insurance covering the properties, operations, personnel and businesses of the Crosstex Entities against such losses and risks as are reasonably adequate to protect them and their businesses in a manner consistent with other businesses similarly situated.

  • None of the Crosstex Entities has received notice from any insurer or agent of such insurer that substantial capital improvements or other expenditures will have to be made in order to continue such insurance.

  • No “employee benefit plan” established or maintained as of the date hereof by the Crosstex Entities or any of their ERISA Affiliates, if such “employee benefit plan” were terminated, would have any “amount of unfunded benefit liabilities” (as defined under ERISA) except for such liabilities as would not have a Material Adverse Effect.

  • None of the Crosstex Entities has sustained since the date of the latest audited financial statements included or incorporated by reference in the Registration Statement and the Prospectus any material loss or interference with its business from fire, explosion, flood or other calamity, whether or not covered by insurance, or from any labor dispute or court or governmental action, investigation, order or decree, except as disclosed in the Registration Statement and the Prospectus.

  • No “reportable event” (as defined under ERISA) has occurred or is reasonably expected to occur with respect to any “employee benefit plan” established or maintained as of the date hereof by the Crosstex Entities or any of their ERISA Affiliates.

  • Each of the Crosstex Entities has been duly organized or formed and is validly existing as a limited partnership or limited liability company, as applicable, in good standing under the laws of the jurisdiction set forth opposite its name in Schedule 5 attached hereto with full power and authority to own or lease its properties and to conduct its business in all material respects, in each case as described in the Registration Statement and the Prospectus.

  • Except as described in the Registration Statement and the Prospectus, there are no outstanding options or warrants to purchase any partnership or membership interests in any of the Crosstex Entities.

  • None of the Crosstex Entities is now, and after sale of the Units to be sold by the Partnership hereunder and application of the net proceeds from such sale as described in the Pricing Disclosure Package and the Prospectus under the caption “Use of Proceeds” none of the Crosstex Entities will be, an “investment company” within the meaning of the Investment Company Act of 1940, as amended.

  • No labor disturbance by the employees of the Crosstex Entities exists or, to the knowledge of the Partnership, is threatened or imminent.

Crosstex Entities means New Public Rangers, L.L.C. and its subsidiaries (including Crosstex Energy, Inc. and Crosstex Energy, L.P. and their respective subsidiaries), together with any successor entities of any of the foregoing.

  • Acquired Entities means the Company and the Acquired Subsidiaries.

  • Partnership Entities means the General Partner and each member of the Partnership Group.

  • Seller Entities means, collectively, Seller and all Seller Subsidiaries.

  • Company Entities means the Company and its Subsidiaries.

  • MLP has the meaning given such term in the introduction to this Agreement.

  • Operating Partnership has the meaning set forth in the preamble.

  • PJM Entities means PJM, including the Market Monitoring Unit, the PJM Board, and PJM’s officers, employees, representatives, advisors, contractors, and consultants. PJM Interchange:

  • Buyer Entities means, collectively, Buyer and all Buyer Subsidiaries.

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • Parent Entities means, collectively, Parent and all Parent Subsidiaries.

  • Seller Subsidiaries means the subsidiary partnerships of the McNeil Partnerships listed on Annex G to this Agreement (the "Subsidiary Partnerships") and the subsidiary corporations listed on Annex F to this Agreement (the "Subsidiary Corporations") which hold GP Interests in certain of the Subsidiary Partnerships.

  • ETP means Energy Transfer Partners, L.P., a Delaware limited partnership.

  • Parent Subsidiaries means the Subsidiaries of Parent.

  • Company Subsidiaries means the Subsidiaries of the Company.

  • Atlas means Automated Transportation Logistics Activity System. ATLAS is a computerized information system to which all Shippers have access upon request. ATLAS enables Shippers to nominate and release product and to monitor and coordinate the movement of Petroleum Products while on Carrier's system.

  • Partnership Parties has the meaning assigned to such term in the preamble.

  • Spinco Subsidiaries means all direct and indirect Subsidiaries of Spinco immediately following the Contribution.

  • Target Companies means the Target and its Subsidiaries.

  • Holding Entities means the subsidiaries of the Infrastructure Partnership, from time to time, through which it indirectly holds all of the Partnership’s interests in the operating entities.

  • Operating Companies means, collectively, the Creekside Operating Company, the Mentone Operating Company and the Yucaipa Operating Company. “Operating Company” means any of the Operating Companies.

  • Operating Company has the meaning set forth in the preamble.

  • Group Companies means the Company and its Subsidiaries.

  • Seller Group Member means (a) Seller and its Affiliates, (b) directors, officers and employees of Seller and its Affiliates and (c) the successors and assigns of the foregoing.
