Crosstex Entities definition

Crosstex Entities means Crosstex MLP and all Subsidiaries of Crosstex MLP, with each such entity a “Crosstex Entity.” “Crosstex Equity Plans” has the meaning set forth in Section 2.6.
Crosstex Entities means New Public Rangers, L.L.C. and its subsidiaries (including Crosstex Energy, Inc. and Crosstex Energy, L.P. and their respective subsidiaries), together with any successor entities of any of the foregoing.
Crosstex Entities means, collectively, Crosstex, the General Partner, Crosstex GP LLC and their respective Subsidiaries. “Crosstex Financial Statements” shall have the meaning specified in Section 3.03(a).

Examples of Crosstex Entities in a sentence

  • There is no claim (other than claims being contested in good faith through appropriate proceedings and for which adequate reserves have been made in accordance with GAAP) against any Crosstex Entity for any material Taxes, and no material assessment, deficiency, or adjustment has been asserted or proposed in writing with respect to any material Taxes or material Tax Returns of or with respect to the Crosstex Entities.

  • All natural gas pipeline systems and related facilities of the Crosstex Entities are “gathering facilities” or “intrastate pipelines” that are exempt from regulation by the FERC under the Natural Gas Act of 1938, as amended.

  • Except as expressly contemplated by this Agreement, from and after January 1, 2013, (a) the Crosstex Entities have operated their business only in the ordinary course of business and consistent with past practice and (b) through the Execution Date, there has not been any Event which has had, or would be reasonably expected to have, a Crosstex Material Adverse Effect.

  • None of the Crosstex Entities is a “natural gas company” under the Natural Gas Act of 1938, as amended.

  • Nothing contained herein shall relieve a defaulting Underwriter of any liability it may have to the Crosstex Entities for damages caused by its default.

  • None of the Crosstex Entities has received notice from any insurer or agent of such insurer that substantial capital improvements or other expenditures will have to be made in order to continue such insurance.

  • The Acquirer Parties have made available to the Contributor Parties true and complete copies of the Organizational Documents of the Crosstex Entities, as in effect on the Execution Date.

  • Roman Catholic priests have been threatened and killed; their pastoral work is under constant surveillance and in many places they are the only intermediaries between these criminal groups and the wider society, which puts them at greater risk.

  • The Crosstex Entities shall not allow a new general partner of the Partnership or of GP LP unless such new general partner first agrees in writing to be bound by the provisions of this Agreement as a “Crosstex Entity”.

  • None of the Crosstex Entities shall take any action which would, or would be reasonably likely to, lessen, restrict, prevent or otherwise have an adverse effect upon the foregoing rights of the Purchaser to board representation.

Related to Crosstex Entities

  • Acquired Entities means the Company and each of its Subsidiaries, collectively.

  • Partnership Entities means the General Partner and each member of the Partnership Group.

  • Seller Entities means the Seller and its affiliates other than the Buyer Entities;

  • Company Entities means the Company and the Company Subsidiaries.

  • MLP has the meaning given such term in the introduction to this Agreement.

  • Operating Partnership has the meaning set forth in the preamble.

  • PJM Entities means PJM, including the Market Monitoring Unit, the PJM Board, and PJM’s officers, employees, representatives, advisors, contractors, and consultants.

  • Buyer Entities means, collectively, Buyer and all Buyer Subsidiaries.

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • Parent Entities means, collectively, Parent and all Parent Subsidiaries.

  • Seller Subsidiaries means the subsidiary partnerships of the McNeil Partnerships listed on Annex G to this Agreement (the "Subsidiary Partnerships") and the subsidiary corporations listed on Annex F to this Agreement (the "Subsidiary Corporations") which hold GP Interests in certain of the Subsidiary Partnerships.

  • ETP means Energy Transfer Partners, L.P., a Delaware limited partnership.

  • Parent Subsidiaries means the Subsidiaries of Parent.

  • Company Subsidiaries means the Subsidiaries of the Company.

  • Atlas means Automated Transportation Logistics Activity System. ATLAS is a computerized information system to which all Shippers have access upon request. ATLAS enables Shippers to nominate and release product and to monitor and coordinate the movement of Petroleum Products while on Carrier's system.

  • Partnership Parties has the meaning assigned to such term in the preamble.

  • Spinco Subsidiaries means all direct and indirect Subsidiaries of SpinCo, after giving effect to the Reorganization.

  • Target Companies means the Company and its Subsidiaries.

  • Holding Entities means the subsidiaries of Brookfield Renewable Energy L.P., from time to time, through which it indirectly holds all of the Partnership’s interests in the Operating Entities.

  • Operating Companies shall have the meaning specified in the recitals to this Agreement.

  • Operating Company means an “operating company” within the meaning of 29 C.F.R. §2510.3-101(c) of the Plan Asset Regulations.

  • Group Companies means the Company and its Subsidiaries.

  • PRC Entities means the PRC Subsidiaries and the Consolidated Affiliated Entities collectively.

  • Seller Group Member means (a) Seller and its Affiliates, (b) directors, officers and employees of Seller and its Affiliates and (c) the successors and assigns of the foregoing.

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Partnership Group Member means any member of the Partnership Group.
