Cumulative EBITDA Target definition

Cumulative EBITDA Target means, with respect to any fiscal year of the Company set forth on Annex I to this Agreement, the applicable amount set forth opposite such fiscal year on Annex I.

Cumulative EBITDA Target for a given period commencing on or after April 1, 2009, shall be as set forth in Appendix A of this Agreement, subject to the provisions of Section 6.6 hereof.

Cumulative EBITDA Target means, with respect to each fiscal year of the Company, an amount as determined by the Board in its sole discretion with respect to such year.

Examples of Cumulative EBITDA Target in a sentence

• In addition, for the avoidance of doubt, except as otherwise provided in Section 3.1(b) below, no portion of the Performance Option shall become vested and exercisable at any time unless the Optionee remains employed with the Company or the applicable Service Recipient through the date on which it is determined that the applicable EBITDA or Cumulative EBITDA Target of the immediately preceding Fiscal Year has been achieved.

• Similarly, if the cumulative EBITDA performance is 95% of the Cumulative EBITDA Target the amount of the Incentive Bonus would equal 90% of the Incentive Amount Target (a decrease of 10%).

• The Committee shall verify whether the Cumulative EBITDA Target for fiscal year 2008 has been achieved, and shall notify Polypore’s Chief Executive Officer of its determination with respect thereto, within ten (10) business days after the Committee receives Polypore’s audited financial statements for fiscal year 2008.

More Definitions of Cumulative EBITDA Target

Cumulative EBITDA Target for a given period shall be as set forth in Exhibit A of this Agreement, subject to the provisions of Section 4.6.

Cumulative EBITDA Target means the Cumulative EBITDA Targets as set forth in Schedule A attached hereto.

Cumulative EBITDA Target as of a given date shall mean the total EBITDA Target from and after [ ] through such date.

Cumulative EBITDA Target means the aggregate of the EBITDA Target for each Financial Period during the Adjustment Period.

Cumulative EBITDA Target for each of Fiscal 2018 and Fiscal 2019 shall be the amount set forth on Exhibit A, in each case, as may be adjusted pursuant to Section 1.8 hereof or Section 7.1(a) of the Plan (including, without limitation, any adjustments to reflect extraordinary or non-recurring events and/or the pro forma impact of any acquisitions or dispositions by the Company and/or any of its subsidiaries (including any acquisition or disposition of a minority interest)).

Cumulative EBITDA Target. As of the last day of a given period, the total of EBITDA Targets from the Effective Date to such last day.
