If Vendor breaches its obligations of exclusivity, CITY shall have the option to (i) reduce the Customer Price of each Voucher in the respective sale by 10% lower than the competing offer with no change to the Service Fee; (ii) refrain from offering, or take down, such sale; and (iii) invoice Vendor for 10% of the total amount received by CITY during the Sale Period or deduct such amount from any amounts owed by CITY to Vendor.
