Examples of CVR Units in a sentence

  • The Company shall use its reasonable best efforts to cause the CVR Units issued and delivered to the Holders at the Closing pursuant to this Agreement to be delivered in book-entry form in accordance with the book-entry registration procedures of CVR’s transfer agent.

  • Notwithstanding anything to the contrary in this Section 2.1, the payment by the Company for the Preferred Shares contemplated to be paid pursuant to this Section 2.1 shall be deemed not to occur until each Holder shall have received in its account referred to in the Instruction Letters the CVR Units and Cash Payments referred to in this Section 2.1.

  • Junior Units means Common Units and any other equity securities that the Partnership may issue in the future ranking, as to the payment of distributions, junior to the Series A Preferred Units.

  • Class B LP Units means, collectively, the Class B limited partnership units of the Partnership, and “Class B LP Unit” means any one of them.

  • Class B Units means the Class B Units of the Company.

  • Preferred Units means a Partnership Interest, including the Series A Preferred Units, designated as a “Preferred Unit,” which entitles the holder thereof to a preference with respect to distributions, or as to the distribution of assets upon any Liquidation Event, over Common Units.

  • Class A Common Units means a Common Unit which is designated as a “Class A Common Unit” and which has the rights, preferences and other privileges designated in Annex A hereto and elsewhere in this Agreement in respect of holders of Common Units.

  • Class B Common Units has the meaning set forth in Section 1(a) hereof.

  • Class D Units has the meaning ascribed to such term in the LLC Agreement.

  • Series A Preferred Units has the meaning assigned to such term in Section 5.11(a).

  • Series B Preferred Units shall have the meaning provided in Section 1.

  • Initial Common Units means the Common Units sold in the Initial Offering.

  • Subordinated Units has the meaning assigned to such term in the Partnership Agreement.

  • Purchased Units means, with respect to a particular Purchaser, the number of Common Units equal to the aggregate Purchase Price set forth opposite such Purchaser’s name under the column titled “Purchase Price” set forth on Schedule A hereto divided by the Common Unit Price.

  • Class C Units The term "Class C Units" shall have the meaning set forth in the preface.

  • LTIP Units means LTIP Units, as such term is defined in the Partnership Agreement.

  • Incentive Units means those Partnership Interests described in Section 2 of the Incentive Unit Agreement.
