Data Security Event definition

Data Security Event means the actual or suspected unauthorized access to or use of Cardholder Information, arising out of your possession of or access to such Cardholder Information, which has been reported (i) to a Card Organization by you or us or (ii) to you or us by a Card Organization. All Security Event Expenses and Post Event Services Expenses resulting from the same, continuous, related or repeated event or which arise from the same, related or common nexus of facts, will be deemed to arise out of one Data Security Event;
Data Security Event is defined as any event whereby (a) an unauthorized person (whether within Trust Company or a third party) acquired or accessed Client’s information, (b) Client’s information is otherwise lost, stolen or compromised or (c) Trust Company’s Chief Information Security Officer, or other senior security officer of a similar title, is no longer employed by Trust Company.
Data Security Event means a breach of the security of the Customer’s infrastructure resulting in loss or damage, including loss of user-names, passwords, Personal Data; crypto-locking or other malware- related damage.

  • Subject to the limitations, terms and conditions of this Section 3.5, we agree to waive liability (the “Liability Waiver”) that you have to us under the Agreement for Security Event Expenses and Post Event Services Expenses resulting from a Data Security Event first discovered by you or us while this Addendum is in effect.

  • Except for the Liability Waiver for expenses as specifically set forth in this Addendum, (i) you remain responsible to perform all agreements and obligations under the Agreement and this Addendum including, without limitation your obligation to comply with data security requirements and (ii) we waive no rights or remedies under your Agreement including, without limitation, our right to terminate the Agreement in the event of a Data Security Event.

  • Customer agrees to take reasonable steps to prevent the occurrence of Data Security Events and to mitigate losses arising out of such events, including, without limitation, following the procedures required by Card Associations and the Regulator, as applicable, in the event of a Data Security Event.

  • The Business Protection Services shall only apply to Data Security Events which are reported in writing to NuArx by a Merchant: (i) during the policy period of the insurance policy which backs NuArx’s provision of the Business Protection Services, and; (ii) no more than sixty (60) days after discovery of the Data Security Event by the Merchant.

  • Any Data Security Event that arises outside of the direct care, control and custody of the Customer or Customer’s Service Contractor.


More Definitions of Data Security Event

Data Security Event is defined as any event whereby: (a) an unauthorized person (whether within Coinbase or a third party) acquired or accessed Client’s information; (b) Client’s information is otherwise lost, stolen or compromised. The Trust Company will respond to any periodic request from Client regarding the identity of the Trust Company’s then employed Chief Information Security Officer, or other senior security officer of a similar title; such requests may be made by Client monthly. For the year 2023, and for each year thereafter, no more than once per calendar year, Client shall be entitled to request that Coinbase provide a copy of its most recent Services Organization Controls (“SOC”) 1 report and SOC 2 report, (together, the “SOC Reports”), and promptly deliver to Client a copy thereof by December 31 of each year. The SOC 1 and SOC 2 reports shall not be dated more than one year prior to such request. Coinbase reserves the right to combine the SOC 1 and SOC 2 reports into a comprehensive report. In the event that Coinbase does not deliver a SOC 1 Report or SOC 2 Report, as applicable, Client shall be entitled to terminate this Coinbase Prime Broker Agreement. Client may also request letters of representation regarding any known changes or conclusions to the SOC Reports on a quarterly basis between SOC reports (“SOC Bridge Letters”). The Coinbase Entities have established a business continuity plan that will support their ability to conduct business in the event of a significant business disruption. The business continuity plan is reviewed and updated annually, and may be updated more frequently as deemed necessary by the Coinbase Entities in their sole discretion. Data Security Event means a credential stuffing attack, brute force attack, or hacking event involving unauthorized access to or acquisition of data that compromises the security, confidentiality, or integrity of Customer Personal Information.

Continuous or repeated actions or exposure to substantially the same general harmful condition, injury or damage shall be deemed a single Data Security Event. All PCl Expenses resulting from the same, continuous, related or repeated event or which arise from the same, related or common nexus of facts, will be deemed to arise out of the first such Data Security Event.

All HIPAA Expenses, PCI Expenses, PII Expenses, Ransomware Expenses, Telecommunications Theft Loss and Social Engineering Fraud Expenses resulting from the same, continuous, related or repeated event or which arise from the same, related or common nexus of facts, will be deemed to arise out of the first such Data Security Event.
