Debt Releases definition

Debt Releases means (i) the release of CSL/US of its debts, liabilities and obligations arising under the Note and Guarantee Agreement dated as of December 19, 2002 among CSL/US, CSL, CSL Finance PTY Ltd. and certain other persons, as amended, (ii) the release of CSL/US of its debts, liabilities and obligations arising under the Syndicated Global Multicurrency Revolving Facility Agreement (amended and restated as of March 18, 2004) among CSL, CSL/US, Deutsche Bank AG, Melbourne as Global Facility Agent, and certain other persons and (iii) the release of JRH/Australia of its debt, liabilities and other obligations arising under the Deed of Cross Guaranty referenced in Section 5.19.
Debt Releases means customary payoff letters, release letters and deeds of release with respect to the Seller Credit Documents that, in each case, (i) reflect the amounts required in order to pay in full the Indebtedness incurred thereunder or evidenced thereby (other than contingent obligations customarily surviving payment in full), and (ii) provide that, upon payment in full of the amounts indicated therein, all security interests and guarantees securing such Seller Credit Documents will be discharged and automatically released and that the holders of such Indebtedness (or their applicable representative(s)) agree effective upon such payment in full to provide from time to time on request of the Acquired Group members (or their designee) such Lien releases as are necessary or desirable to evidence the discharge, release and termination in full of all Liens related to such Indebtedness, including appropriate UCC termination statements and intellectual property security releases. For the avoidance of doubt, the foregoing shall include the forms C6 in respect of any Liens securing the obligations under the Seller Credit Documents that are registered against any member of the Acquired Group in the Irish Companies Registration Office.
Debt Releases means collectively the releases of Finova and the Bank in respect of the Finova Debt and the Bank Debt in substantially the form, respectively, of the draft releases attached hereto as Schedule 1.1(q)1 and 2;

More Definitions of Debt Releases

Debt Releases means the requirement for the Seller to arrange to have Laminar and its subsidiaries released as borrowers, guarantors and/or obligors under the (x) indebtedness set forth on Schedule 1.1(c)(x) (Payoff Indebtedness) to the Laminar Acquisition Agreement as in effect on October 31, 2022 and (y) intercompany balances required to be eliminated pursuant to Section 6.10 of the Laminar Acquisition Agreement as in effect on October 31, 2022, and to release and terminate any and all liens on the assets of Laminar and its subsidiaries with respect to such indebtedness and/or intercompany balances.
Debt Releases shall have the meaning set forth in Section 6.7.

Related to Debt Releases

  • Second Lien Indenture has the meaning set forth in the recitals.

  • Second Lien Security Documents means any and all security agreements, pledge agreements, mortgages and other agreements and documents pursuant to which any Liens are granted to secure any Indebtedness or other obligations in respect of the Second Lien Notes.

  • Subordinated Debt Documents means any agreement, indenture and instrument pursuant to which any Subordinated Debt is issued, in each case as amended to the extent permitted under the Loan Documents.

  • Existing Indebtedness Agreements shall have the meaning provided in Section 5.05.
