Development and Commercialization Program definition

Development and Commercialization Program shall have the meaning set forth in Section 2.1.
Development and Commercialization Program means all activities performed by MedImmune to develop a Clinical Candidate into a Product, obtain Regulatory Approval of such Product and commercialize such Product, including marketing and selling.
Development and Commercialization Program means the program of activities to be conducted by each of Corixa and Medicis during the term of this Agreement as further described in Exhibit D.

  • After any such Regulatory Approval for such Licensed Product in the United States, any Manufacturing activities for Commercialization of Licensed Product for U.S. Administration will be included in and will be part of the U.S. Commercialization Plan and the U.S. Development and Commercialization Program.

  • In addition, each party shall provide the other party with all information that is reasonably necessary or useful for achieving the goals of the Development and Commercialization Program.

  • The Development Steering Committee shall review the Development and Commercialization Program annually, implement any mutually agreeable modifications and make recommendations related to possible Development and Commercialization Program extensions and/or expansions to the respective senior management teams of each party.

  • No material deviation in the subject matter and scope of such Development and Commercialization Program shall be made without the mutual written agreement of both parties.

  • The Development and Commercialization Program shall include a development plan setting forth the activities currently contemplated by the parties to be performed in developing the Licensed Product, as well as a description of each party's responsibilities in connection with the development and commercialization of the Licensed Product.

  • The parties agree that the end goal of the Development and Commercialization Program shall be the expeditious clinical development and regulatory approval of the Licensed Product as necessary for the import, manufacture, marketing and/or sale thereof in the Territory in the Licensed Field.

  • If MedImmune selects a Clinical Candidate, then it must use Commercially Reasonable Efforts to initiate a Development and Commercialization Program and commercialize a Product.

  • Thereafter, annual updates of the Development and Commercialization Program plan for each Contract Year in which there is expected to be Development and Commercialization Program activity shall be submitted to Avalon by no later than three months prior to the end of the previous Contract Year.

  • In the event that the Development Steering Committee determines that such transfer is in the best interests of the performance of the Development and Commercialization Program, the parties shall negotiate a materials transfer with such academic researcher as follows.

  • Inventions, discoveries and technology(ies) related to the Licensed Product that arise from the performance of the Development and Commercialization Program and that are made by Corixa solely or jointly other than with an employee or agent of ZKC shall be owned by Corixa.

Related to Development and Commercialization Program

  • Development Program means the implementation of the development plan.

  • Commercialization Plan has the meaning set forth in Section 6.2.

  • Development Plan has the meaning set forth in Section 3.2.

  • Development Activities means those activities which are normally undertaken for the development, construction, repair, renovation, rehabilitation or conversion of buildings for residential purposes, including the acquisition of property;

  • Commercialization or “Commercialize” means activities directed to marketing, promoting, research and development as required, manufacturing for sale, offering for sale, distributing, importing or selling a product, including sub-licensing or sub-contracting of these activities.

  • Development Plans means a coherent set of operations defined and financed exclusively by the OCTs in the framework of their own policies and strategies of development, and those agreed upon between an OCT and the Member State to which it is linked;

  • Research Program has the meaning set forth in Section 3.1.

  • Joint Commercialization Committee or “JCC” has the meaning set forth in Section 3.4 (Joint Commercialization Committee).

  • Research Plan shall have the meaning set forth in Section 2.1.

  • Collaboration Product means a pharmaceutical product containing or comprising Compound in any dosage form alone, or in combination with, one or more other pharmaceutically active ingredients, and any and all Improvements thereto.

  • Development Activity means any activity defined as Development which will necessitate a Floodplain Development Permit. This includes buildings, structures, and non-structural items, including (but not limited to) fill, bulkheads, piers, pools, docks, landings, ramps, and erosion control/stabilization measures.

  • Development Team means the entities and professionals assembled to develop and manage the Project, typically including the Applicant, Owner, Developer(s), Co-Developer(s) and general partner or any other related entities in which the Developer or Co-Developer has an identity of interest or a Controlling Interest.

  • Development Candidate means a Compound that meets the Development Candidate Criteria for the initiation of a Development Program for the treatment of CF, and which is the subject of a notice from Vertex to CFFT that Vertex intends to commence formal pre-clinical development of the Compound in the Field pursuant to the provisions of Section 3.1 hereof.

  • Collaboration has the meaning set forth in Section 2.1.

  • Collaboration Compound means any of the following: (a) FG-4592, (b) any HIF Compound (other than FG-4592) that is added to this Agreement pursuant to Section 3.6, and (c) any salts, esters, complexes, chelates, crystalline and amorphous morphic forms, pegylated forms, enantiomers (excluding regioisomers), prodrugs, solvates, metabolites and catabolites of any of the foregoing ((a) or (b)).

  • Medical Affairs Activities means, with respect to any country or other jurisdiction in the Territory, the coordination of medical information requests and field based medical scientific liaisons with respect to Licensed Compounds or Licensed Products, including activities of medical scientific liaisons and the provision of medical information services with respect to a Licensed Compound or Licensed Product.

  • Licensed Program means the executable processing programs of licensed information, which is composed of various modules in the Licensed Software package provided by the Licensor.

  • Research Program Term has the meaning set forth in Section 2.2.

  • Development Phase means the period before a vehicle type is type approved.

  • Commercial Development Plan means the written commercialization plan attached as Appendix E.

  • Commercializing means to engage in Commercialization and “Commercialized” has a corresponding meaning.

  • Development Work means any work carried out in relation to the physical construction of a mine;

  • Collaborative drug therapy management means participation by an authorized pharmacist and a physician in the management of drug therapy pursuant to a written community practice protocol or a written hospital practice protocol.

  • Collaboration Technology means all Collaboration Patents and Collaboration Know-How.

  • Commercialization Costs means the out-of-pocket costs and expenses incurred by Adapt or its Affiliates directly attributable to, or reasonably allocable to, the Commercialization of a Product. Commercialization Costs for a Product shall include, preparation of promotional, advertising, communication, medical, and educational materials relating to the Product and other Product literature and selling materials, activities directed to marketing of the Product, including purchase of market data, development and conduct of market research, advertising, public relations, public affairs and other communications with Third Parties regarding the Product; development and conduct of sales force training (including materials, programs and travel to and attendance at training programs) for medical representatives responsible for promoting the Product; and development and maintenance of sales bulletins, call reporting and other monitoring/tracking, sales force targeting, validation and alignment programs and documentation.

  • Collaboration Target means the Initial Collaboration Targets set forth on Exhibit F and any Additional Target or Substitute Target that is selected in accordance with Section 3.3 of this Agreement.
