DISCOVERED PRODUCT definition

DISCOVERED PRODUCT means a product, material, or service that is identified, selected, or determined to have utility in whole or in part by the use of a LICENSED PRODUCT, including the use of a screening method or assay covered by the LICENSED RIGHTS.
DISCOVERED PRODUCT means a product, compound or drug candidate that is identified from an in silico library through the Use of the Licensed Technology and/or a PORTIONS OF THIS EXHIBIT WERE OMITTED AND HAVE BEEN FILED SEPARATELY WITH THE SECRETARY OF THE COMMISSION PURSUANT TO THE COMPANY'S APPLICATION REQUESTING CONFIDENTIAL TREATMENT UNDER RULE 406 OF THE SECURITIES ACT; [*] DENOTES OMISSIONS.
DISCOVERED PRODUCT means any product identified by the use of LICENSED PRODUCTS or LICENSED PROCESSES when the product itself or the manufacture of such product does not infringe PATENT RIGHTS.

  • Notwithstanding the foregoing, if the discovery, development, use or sale of a DISCOVERED PRODUCT by a CORPORATE PARTNER or SUBLICENSEE is unknown to COMPANY or an AFFILIATE and does not result in any payments to COMPANY or an AFFILIATE, then the reporting requirements under this Section 5.2 with respect to such DISCOVERED PRODUCT shall be waived.

  • If the first LICENSED PRODUCT, POLYPEPTIDE, LICENSED PROCESS or DISCOVERED PRODUCT does not meet all milestones, any paid milestone will be considered fulfillment of that milestone obligation, which shall not be paid again on the next product to reach that milestone.

More Definitions of DISCOVERED PRODUCT

DISCOVERED PRODUCT means any product that, in whole or in part, is discovered, identified, selected or determined to have utility in whole or in part by the use of LICENSED PRODUCTS and/or LICENSED PROCESSES, including without limitation the use of a screening method or assay covered by one or more VALID CLAIMS of the PATENT RIGHTS. For example, in the case of THERAPEUTIC PRODUCTS and DIAGNOSTIC PRODUCTS, DISCOVERED PRODUCTS shall include, without limitation, a previously known product for which LICENSED PRODUCTS and/or LICENSED PROCESSES are used to identify criteria for either selecting or deselecting groups and/or individuals for a particular use of such product, thereby clinically increasing the efficacy and/or safety of the use of such product. For any DISCOVERED PRODUCT that also falls within the definition of LICENSED PRODUCT, then such DISCOVERED PRODUCT shall be deemed a LICENSED PRODUCT for the purposes of this Agreement rather than a DISCOVERED PRODUCT.
DISCOVERED PRODUCT means any product that, in whole or in part, is discovered, identified, selected or determined to have utility in whole or in part by the use of LICENSED PRODUCTS and/or LICENSED PROCESSES, including without limitation the use of the LICENSEE's hyperthermia machine or part thereof, and accessories, including, but not limited to disposable accessories such as temperature probes and needles which would have been a LICENSED PRODUCT while under a valid claim of the PATENT RIGHTS.
DISCOVERED PRODUCT means any product (whether developed or commercialized by Licensee, its Subsidiaries or Discovered Product Licensees) that: [***].
DISCOVERED PRODUCT means any product or derivative thereof that was identified, selected or determined to have utility in whole or in part by the use or modification of a LICENSED PRODUCT or the use of LICENSED PROCESSES. DISCOVERED PRODUCTS shall include, [***]. DISCOVERED PRODUCTS shall not include targets or modulation of targets using anything other than a [***]. For any DISCOVERED PRODUCT that also falls within the definition of LICENSED PRODUCT, such DISCOVERED PRODUCT shall be deemed a LICENSED PRODUCT for the purposes of this Agreement.
DISCOVERED PRODUCT means any Product other than an Optimized Product.

  • Covered Product The consumer product that You purchased concurrently with and is covered by this Agreement.

  • Covered Products means Your Applications, Libraries, Passes, Safari Extensions, Safari Push Notifications, and/or FPS implementations developed under this Agreement.

  • Licensed Product means a product or part of a product in the Licensed Field of Use: (A) the making, using, importing or selling of which, absent this license, infringes, induces infringement, or contributes to infringement of a Licensed Patent; or (B) which is made with, uses or incorporates any Technology.

  • New Product means the Synology-branded hardware product and Synology-branded accessories contained in the original packaging Customer bought from an authorized Synology distributor or reseller. You may see our “New Product” at Product Support Status.

  • Product means any deliverable under the Contract, which may include commodities, services, technology or software.

  • Product Candidate means any pharmaceutical product developed, manufactured and/or tested by or on behalf of the Company that has not received a Regulatory Authorization for commercial distribution other than in connection with pre-clinical or clinical trials.

  • Diagnostic Product means any test or assay for diagnosing or detecting a disease, disorder, medical condition, or symptom.

  • Finished Product means a cannabis product in its final form to be sold at a retail premises.

  • Licensed Compounds means: (a) Research Program Active Compounds; (b) Novartis Active Compounds; (c) salts, hydrates, solvates, esters, metabolites, intermediates, stereoisomers and polymorphs of Research Program Active Compounds or Novartis Active Compounds; and (d) prodrugs of Research Program Active Compounds or Novartis Active Compounds (any of the foregoing, a “Licensed Compound”).

  • Edible cannabis product means cannabis product that is intended to be used, in whole or in part, for human consumption, including, but not limited to, chewing gum, but excluding products set forth in Division 15 (commencing with Section 32501) of the Food and Agricultural Code. An edible cannabis product is not considered food, as defined by Section 109935 of the Health and Safety Code, or a drug, as defined by Section 109925 of the Health and Safety Code.

  • Biological product means a virus, therapeutic serum, toxin, antitoxin, vaccine, blood, blood component or derivative, allergenic product, protein other than a chemically synthesized polypeptide, or analogous product, or arsphenamine or any derivative of arsphenamine or any other trivalent organic arsenic compound, applicable to the prevention, treatment, or cure of a disease or condition of human beings.

  • Third Party Product means a product (whether hardware, software or services) supplied to you by a third party;

  • Commercialized shall have corresponding meanings.

  • Generic Product means a product which (a) contains as its active pharmaceutical ingredient a compound that is (or is substantially the same as) the Licensed Compound, and (b) has been placed on the market pursuant to a validly granted marketing authorization.

  • Manufactured products means items and construction materials composed in whole or in part of non-ferrous metals such as aluminum; plastics and polymer-based products such as polyvinyl chloride pipe; aggregates such as concrete; glass, including optical fiber; and lumber.

  • Royalty Product means, either (a) an Alnylam Royalty Product, or (b) an Inex Royalty Product.

  • Lead Compound means any compound of lead other than galena which, when treated in the manner described below, yields to an aqueous solution of hydrochloric acid a quantity soluble lead compound exceeding, when calculated as lead monoxide, five percent of the dry weight of the portion taken analysis.

  • Aerosol Product means a pressurized spray system that dispenses product ingredients by means of a propellant contained in a product or a product's container, or by means of a mechanically induced force. “Aerosol Product” does not include “Pump Spray.”

  • Biosimilar Product means, with respect to a Licensed Product and on a country-by-country basis, a product that [***].

  • Competing Products means any product or service in existence or under development that competes with any product or service of the Company Group about which the Participant obtained Confidential Information or for which the Participant provided advisory services or had sales, origination, marketing, production, distribution, research or development responsibilities in the last twenty-four (24) months of employment with the Company Group.
