Dividend Equivalent Payment definition

Dividend Equivalent Payment means a payment in cash or Cash Equivalents to any director, officer or employee of Holdings or any of its Subsidiaries that is a holder of unexercised warrants, options or other rights to acquire Qualified Capital Stock (other than Qualified Capital Stock that is Preferred Stock) of Holdings, which payment represents a dividend or distribution by Holdings that such holder would have received had such holder’s warrants, options or other rights to acquire been exercised on the date of such dividend or distribution.
Dividend Equivalent Payment means, for each share of Stock represented by an outstanding Restricted Stock Unit, a payment in an amount equal to, and in the same form of payment as, the dividend paid on one share of Stock, except as otherwise determined by the Committee or set forth in the Country Appendix.
Dividend Equivalent Payment means an amount in cash, if any, equal to the Common Share Dividends per Common Share for which the Common Share Dividend Record Date occurs during the period from the Closing Date to the date prior to the Acquisition Closing Date;

Examples of Dividend Equivalent Payment in a sentence

  • Holders of Subscription Receipts are not shareholders of the Corporation and will not have any direct or indirect entitlement whatsoever relating to or arising from any dividends declared or paid on the Common Shares prior to the Acquisition Closing other than any Dividend Equivalent Payment.

  • No Dividend Equivalent Payment will be made to holders of Subscription Receipts if a Termination Event occurs.

More Definitions of Dividend Equivalent Payment

Dividend Equivalent Payment means an amount equal to the Value of the Income Property at the relevant Valuation Point on the Trade Date divided by the number of Units then in issue or deemed to be in issue;
